The conflict of interest policy and annual affirmation are provided to each new board and executive staff member upon their appointment. The annual affirmation is to be completed, signed and returned within 30 days of its receipt. Affirmations containing a duality of interest are referred to the chair of the finance, investment and audit committee for followup.”

“The ceo's salary is established by the nysernet.org board of directors in executive session (absent the ceo) on advice provided by the compensation committee. Prior to the board's december meeting, the compensation committee collects data for comparable leaders of comparable organizations, as available, utilized published salaries from surveys, and considers size of the organization, regional differentials, impact on the region and nation by the ceo's activity and influence, participation in and leadership roles in regional and national organizations, as well as the ceo's management performance regarding the organization's planning, operations, project progress, finances and direction. Compensation for the executive staff and the budgeted increase of compensation for all nysernet staff was similarly reviewed. The committee's recommendation was presented to the entire board in executive session during the december meeting for advice and consent. The chair conveys the recommendation of the board to the ceo and to the assistant treasurer for implementation.”
