Governance Explanations

Form 990, Part VI, Section A, Line 2

Matthew rhys (board member) and keri russell (board member) have a family relationship.

Form 990, Part VI, Section A, Line 3

Employment management agreement: the conservancy has an employment management agreement with a professional employer organization ("peo") that provides a comprehensive personnel management system encompassing a broad range of services, including benefits and payroll administration, health, pension, worker's compensation insurance programs, personnel records management, employer liability management, etc.

Form 990, Part VI, Section A, Line 4

During 2024, the conservancy elected to change its year-end from calendar year ending december 31 to a fiscal year ending june 30, 2025, effective on january 1, 2025. As a result, the accompanying tax returns are as of june 30, 2025 and for the six-months ended june 30, 2025 (january 1, 2025 to june 30, 2025).

Form 990, Part VI, Section B, Line 11B

The audit committee reviews the audited financial statements after which they are presented to the larger board. Form 990 is prepared after audit completion and board approval of the financial statements. Form 990 is made available to the board of directors for review prior to filing, based on audit committee recommendation and approval.

Form 990, Part VI, Section B, Line 12C

Compliance is self-policing unless conflict is apparent and visible, then the conservancy would take action.

Form 990, Part VI, Section B, Line 15

Compensation for the executive director, deputy director, and development director is determined by a committee of the board of directors using the nonprofit coordinating committee of new york (npcc) salary survey and other published comparative analyses applicable to not-for-profit organizations.

Form 990, Part VI, Section C, Line 19

The conservancy makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Additional Explanations

Part I - Line 1

Our mission is to cultivate and promote interest in brooklyn bridge park by engaging and educating individuals, including through producing educational, cultural and recreational programs.

Part III - Line 1

The conservancy's mission is to cultivate and promote interest in brooklyn bridge park. We hold events to engage and educate individuals about the history of, and the importance of preserving and supporting, the park. This past year, we also produced more than 600 free and low-cost educational, cultural, fitness and recreational programs for tens of thousands of nyc residents and visitors to learn, grow, and experience all that brooklyn bridge park has to offer.

Part III - Line 4A

Brooklyn bridge park conservancy works to connect people, nature, and the waterfront through inclusive, innovative, programming in brooklyn bridge park. Over 7,000 visitors enjoyed the conservancy's arts and cultural programs, including our kickoff spring kite festival featuring s.t.e.a.m. Activites, live music and kite flying. Other cultural performances included two family friendly dance workshops with bam and abt, a dj dance party in honor of brooklyn pride, and live music performances with brooklyn chamber orchestra and freelance band (jazz) as part of our "sounds at sunset" program. We also partnered with kinfolk tech foundation to bring augmented reality art to the park focused on the stories of black, brown and indigenous peoples in brooklyn, and included a kickoff artist panel event on juneteenth along with guided tours. The conservancy's vibrant recreation programs were enjoyed by over 2,000 participants and included our popular waterfront workout series featuring zumba, pilates, bootcamp and yoga classes. Public kayaking was held 4 days a week in june and enjoyed by over 2,500 paddlers, including adults and families. Soccer and volleyball leagues enrolled over 2,500 children and adults. Youth basketball clinics offered shooting, dribbling, and teamwork skills for children aged 4-17, and were at capacity every session. We also partnered with a local running club, team wrk, to host a juneteenth 5k attended by over 450 participants. Through its education focused programs, brooklyn bridge park's tides teen program conducted 1240 contact hours with brooklyn youth. Though free, open hours in the education center, served 5,000 community members. We served 600 people through in-depth, community science programs, such as our fishing clinic and seining and served 300 additional people through outreach programs throughout brooklyn. We served 6,000 mchool children through in-dpeth, hands-on programming; a total amount of 258 contact hours over the school year. The vast majority of school children served come from title i schools. Between january and june 2025, 603 volunteers contributed a total of 1,231 service hours through corporate, school, community group, and individual volunteer opportunities. Volunteers contributed by supporting horticulture activities, coastal cleanups, events, photography, environmental and community science programs, and by leading park tours.

Financial Statement Notes

PART V, LINE 4:

Temporarily restricted: temporarily restricted net assets include gifts of cash and other assets received with donor-imposed stipulations that will be met either by actions of the conservancy and/or the passage of time. Contributions with donor-imposed restrictions are reported as increases in temporarily restricted net assets. Contributions with donor-imposed restrictions that are met in the same year the contributions are received are recorded as unrestricted. When a donor-imposed restriction expires, that is, when a stipulated time restriction ends of the purpose of the restriction is accomplished, temporarily restricted net assets are reclassified to unrestricted net assets and reported in the statement of activities as net assets released from restrictions. Permanently restricted: permanently restricted net assets include funds that have been restricted by donors to be held in perpetuity. The earnings from these funds are one-hundred percent directly appropriated and used for the conservancy's general operations.
