Prior to its statutory merger on december 31, 2021, the organization was the tax-exempt parent entity of visiting nurse association of staten island, inc. And subsidiaries; a tax-exempt integrated healthcare delivery system ("system"). The system entered into a management services agreement with richmond medical center d/b/a richmond university medical center ("rumc"); an internal revenue code section 501(c)(3) tax-exempt hospital organization. Rumc was engaged to oversee the day-to-day operations of all affiliates within the system. In addition, rumc was contracted to provide the system with full-time services of a chief executive officer. The following individual was compensated by rumc during 2021. Additionally, in accordance with the federal form 990 instructions, included below is the individual's reportable compensation and other compensation (deferred compensation & non-taxable benefits) received from rumc for services provided to the system for the year ended december 31, 2021. Prior to its statutory merger on december 31, 2021, the organization was the tax-exempt parent entity of visiting nurse association of staten island, inc. And subsidiaries; a tax-exempt integrated healthcare delivery system ("system"). As part of the tax return preparation process the organization hired a professional cpa firm with experience and expertise in both healthcare and not-for-profit tax return preparation, to prepare the federal form 990. The cpa firm's tax professionals worked closely with the organization's finance personnel and system individuals ("internal working group") to obtain the information needed in order to prepare a complete and accurate tax return. The cpa firm prepared a draft federal form 990 and furnished it to the system's internal working group for review. The internal working group reviewed the draft federal form 990 and discussed questions and comments with the cpa firm. Revisions were made to the draft federal form 990 where necessary and a final draft was furnished by the cpa firm to the internal working group for final review and approval prior to filing with the internal revenue service ("irs"). As of the date the organization's form 990 was filed with the irs, the organization was statutorily merged. Therefore, the organization and its governing body ceased to exist. As a result, the organization's federal form 990 was provided to the governing body of its affiliate, visiting nurse association health care services, inc. After filing with the irs.

Prior to its statutory merger on december 31, 2021, the organization was the tax-exempt parent entity of visiting nurse association of staten island, inc. And subsidiaries; a tax-exempt integrated healthcare delivery system ("system"). The system has a conflict of interest policy which it annually monitors and enforces. The policy mandates that all members of management and the governing body annually sign a conflict of interest policy and disclose any potential or actual conflicts that may exist. The signed conflict of interest policy is submitted to the corporate compliance officer who reviews the signed attestations for potential or actual conflicts. If a potential or actual conflict of interest exists, the corporate compliance officer will notify a member of management or the governing body about such conflict and investigate the conflict. The results of the investigation will be summarized and documented by the corporate compliance officer and be reported to the governing body. If the corporate compliance officer establishes that an actual conflict exists, the member of management or the governing body will be notified immediately and will not be allowed to vote or be a part of any decisions about any such transactions that have to do with the conflict until such time there is no longer a conflict.

Pursuant to the management services agreement, the organization's president & ceo is compensated by richmond medical center d/b/a richmond university medical center. Richmond university medical center's governing body, its board of trustees, has a compensation committee ("committee"). The committee has adopted a written executive compensation philosophy which it follows when it reviews and approves the compensation and benefits of all employees specified as having a substantial influence over the organization ("executive leadership"). The committee reviews the "total compensation" of these individuals which is intended to include both current and deferred compensation and all employee benefits, both qualified and non-qualified. The committee's review is done on at least an annual basis and ensures that the "total compensation" of executive leadership personnel is reasonable. For additional information please refer to core form, part vi, section b; question 15 included within schedule o of the richmond university medical center (ein: 74-3177454) form 990 for the year ended december 31, 2021.

And subsidiaries for the years ended december 31, 2021 and december 31, 2020; respectively. The following footnote is included in the system's 2021 audited consolidated financial statements that reports the organization's liability for uncertain tax positions under fin 48 (asc 740): health watch-lifeline, inc., a subsidiary of vnasi, which is a for-profit corporation, files separate federal and state income tax returns and had a current tax provision only and no deferred taxes. Management recognizes the effect of tax positions only when they are more likely than not of being sustained. Management is not aware of any violations of the tax status of its other subsidiaries which are all not-for-profit organizations exempt from income taxes, nor of any exposure to unrelated business income tax. Management has determined that there are no uncertain tax positions that would require financial statement recognition or disclosure.
