Governance Explanations

Form 990, Part VI, Section B, Line 11

The return is reviewed in detail by the finance committee. A copy of the organization's form 990 is then made available to the entire board for a period of seven days for comment before it is filed.

Form 990, Part VI, Section B, Line 12C

The board of directors regularly evaluates potential and existing conflicts of interest.

Form 990, Part VI, Section B, Line 15A

The determination of the compensation for the executive director is made by the entire board on an annual basis in an executive session of the board. Initially, the board's chair and vice chair request the executive director to prepare a written self-evaluation of job performance for the year just ending, as well as personal goals for the upcoming year. After reviewing the self-evaluation and goals, the chair and vice chair meet with the executive director to discuss both documents. They then prepare a memorandum of the meeting and, after also reviewing the most recently available comparability data on salaries, meet with the executive committee of the board to formulate a proposal to make to the full board with respect to the executive director's compensation for the upcoming year. The proposal is then presented to the full board, meeting in executive session, for discussion and approval.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy, and financial statements are available to donors and prospective donors upon request.
