“The executive committee shall be comprised of the chairman of the board, the vice chairman, the chairman-emeritus, the secretary/treasurer, and the chairs of the standing committees. The executive committee shall exercise such powers as shall be delegated to them by the board of directors and, subject to ratification by the board, be emplowered to act in the name of the membership between meetings of the board. Specific duties of the executive committee: chairman of the board - the chairman of the board may perform such offices as shall be requested from time to time by the board of directors. The chairman shall preside at meetings of the members and of the board of directors. He or she shall also, at other meetings of the corporation and at such other times as he or she deems proper, communicate to the corporation or to the board such matters and make such suggestions as may, in his or her opinion, tend to promote and increase the usefulness of the corporation to members and shall perform such other duties as are incident to the office of the chairman of the board. The chairman-emeritus shall be a member of the executive committee automatically for the three year period immediately following his or her term as chairman of the board. In case of absence or inability to act from any cause of both the chairman of the board and vice chairman of the board, the chairman -emeritus shall perform the duties of the chairman. Vice chairman of the board - the vice chairman of the board shall assist the chairman of the board in fulfilling his or her duties. The vice chairman shall perform the duties of the chairman in case of absence or inability to act from any cause of the chairman. The vice chairman may also serve in another capacity on the executive committee (i.e. As a committee chair of a standing committee or secretary/treasurer). Secretary/treasurer - the treasurer shall oversee the collection and accounting of all monies received and expended for the use of the corporation. The treasurer shall make a report at the annual meetings of the board or at such other times as called upon by the chairman of the board. The secretary shall be holder of the corporation's seal.”

Upon completion of the initial three year term, directors are eligible for re-election for successive three year terms under the same procedures as their initial election.”
