Governance Explanations

Form 990, Part VI, Section A, Line 7A

The election of directors shall take place at each annual meeting of the members. Election shall be by a majority vote of the members present. Any director, upon the expiration of his term of office, may become eligible for reelection. Directors shall be selected for their ability to participate effectively in fulfulling the board's responsibilities. Directors shall be proposed by nomination at least twenty days prior to the annual meeting by corporation's nominating committee. No nomination shall be made after that date unless an individual nominated shall be unable to hold office in which case a nomination may be made at the annual meeting. The names of nominees shall be forwarded with the notice of the meeting.
