“The organization has one class of members that has the right to elect the directors of the governing body.”

“Each member of the single class has one vote at the annual meeting for each director and officer. The candidates receiving the largest number of votes are elected.”

“The form 990 is reviewed by the Audit Committee and then presented to the full Board for approval. A copy of the Form 990 is presented to every board member for review before it is filed with the IRS.”

“The policy covers any director, principal officer, or member of a committee designated by the Board, who has a direct or indirect financial interest, as defined in the policy,in any transaction or arrangement of the organization. We distribute annual disclosure forms to all persons mentioned above and the completed forms are reveiwed by the Audit Committee Chair. Interested persons may also disclose potential conflicts during a Board or Committee meeting. The uninterested board members identify, consider and address actual conflicts, and may ultimately vote to determine whether the transaction or arrangement is in the organizations best interest.”

“The HAP Board is in the process of creating committees such as the personnel committee that will evaluate the top management salaries. This was unnecessary in the past because the Executive Directors performance and compensation was reviewed by the affiliated company, CPC, and the top management salaries was strictly controlled by HRA guidelines. With the transition of funding to the MCOs the personnel committee will fill this need.”

“There are no compensated Directors, and key employees whose salaries were controlled by HRA in the past will also be reviewed by the Personnel Committee.”
