Form 990, Part VI, Section B, Line 11B

The organization's 990 is first reviewed by the organization's back office accounting firm and the executive director. Upon their approval, the 990 is provided to the board chairman who distributes it to all members of the board of directors. A quorum, consisting of at least one-third of the entire number of board members including the board chairman and board treasurer, must then review the 990 and electronically vote whether or not to approve the 990. The board decision is then provided by the board chairman to the executive director who approves the submission of the 990 to the irs.

An interest person may take a presentation at the board or committee meeting, but after the presentation, he shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. PART X, LINE 2:

The organization is a not-for-profit organization that is exempt from income taxes under section 501(c)(3) of the internal revenue code and, accordingly, is not liable for federal and state income taxes. The organization follows standards that provide clarification on accounting for uncertainty in income taxes recognized in the organization's financial statements. The guidance prescribes a recognition threshold and measurement attributable for the recognition and measurement of a tax position taken, or expected to be taken, in a tax return, and also provides guidance on derecognition, classification, interest and penalties, disclosure and transition. The organization's policy is to recognize interest and penalties on unrecognized tax benefits in income tax expense. No interest and penalties were recorded during 2024 and 2023. At june 30, 2024 and 2023, there were no significant income tax uncertainties.
