“Per the ATIS Bylaws, the Executive Committee shall have full power to act for the Board between Board meetings. All actions of the Executive Committee shall be reported to the Board and shall be subject to review, modification, approval or disapproval by the Board of Directors at the next meeting following the taking of such action. The Executive Committee shall be comprised of a number of Directors to be determined by the Chairperson of the Board provided such number shall not be less than seven (7) nor more than fifteen (15) Directors.”

“Membership of ATIS consists of Full Members and Affiliate Members. Full Membership is open to service providers, manufacturers, distributors and developers of communications, entertainment, and information technology products and services. Affiliate membership is open to any organization that does not qualify for Full Membership status yet supports the advancement of the mission of ATIS.”

“The Board of Directors consists of three classes of Directors as follows: (i) one Director appointed by each of the members having annual operating revenues in excess of five billion dollars ($5B) (a class A Director); (ii) one Director appointed by each of the members having annual operating revenues between five hundred million dollars ($500M) and five billion dollars ($5B) (a Class B Director); and (iii) ten Directors elected by class vote of all members with annual operating revenues less than five hundred million dollars ($500M) (Class C Directors).”

“The President and CEO reviewed the Form 990 prior to its being filed with the IRS. A copy of the Form 990 as ultimately filed was provided to the full Board two weeks prior to its being filed with the IRS.”

“ATIS has adopted a Conflicts of Interest Policy that applies to its officers, directors, and key employees. Each officer, director and key employee has been furnished with a copy of this policy, which is also maintained on a website accessible to these individuals. On an annual basis, persons covered by the policy must disclose or update any interests that could reasonably give rise to conflicts of interest. The organizations President and CEO and General Counsel monitor proposed or ongoing transactions for conflicts of interest and disclose them to the Chairman of the Board of Directors. For each interest disclosed, the Chairman of the Board of Directors will determine whether to: take up no action; assure full disclosure to the Board of Directors and other individuals covered by this policy; ask the person to recuse himself from participation in related discussions with ATIS; or, ask the person to resign his or her position in the organization.”

“The process for determination of compensation for the ATIS CEO consists of review and approval by the Management and Compensation Committee of the ATIS Board of Directors to include comparability data and substantiation of the decisions. This process was last undertaken in 2024.”

“A similar process to that outlined in 15a above is employed for key employees, and all other ATIS employees. Such employees compensation is reviewed and approved using comparable compensation data for similarly qualified individuals. This review and approval is done by ATIS President and CEO, with input from the HR Manager. This process was last undertaken in 2024.”

“The ATIS bylaws are available on the ATIS website at www.ATIS.org. Neither the Conflicts of Interest Policy nor the Financial Statements are available to the public.”

“ATIS prepares its financial statements on the modified cash basis of accounting, under which depreciation of capitalized assets is recognized as an expense and membership dues are recognized as revenue in the year in which the applicable services are provided to its members. Under this basis, revenue is recognized when collected rather than when earned (except for membership dues), and expenses, except depreciation, are recognized when paid rather than when the obligation is incurred.”
