“The organization has no committee other than its governing board members. Form 990, Part VI, Line 11A A draft copy of the Form 990 is provided to each of HITN's Board members at a board meeting. The Form 990 is reviewed and the Board is provided the opportunity to ask questions and discuss any suggested changes with Management. The Board will then be asked to approve the submission of the final version.”

“HITN monitors and enforces compliance with its conflict of interest policy. Board members, CEO, COO, CFO and senior staff are all subject to the conflict of interest policy which requires decision-making on any transaction that would affect their material financial interest or that would significantly affect their personal interest thereby creating a conflict of interest or the appearance of conflicts.”

“The board of directors establishes compensation for the ceo. In 2015 the board of directors contracted an independent compensation consultant to complete a compensation study on the organizations four officers. The results of the study were reviewed by the board of directors at the september 2015 board meeting. These results will be used by the board of directors to assist in establishing compensation levels for the organizations four officers. Prior to 2015, an independent compensation study was completed for the ceo and other officers in 2007.”

Part X, Line 2

“Hitn follows the accounting guidance for uncertainties in income tax provisions which require that a tax position be recognized or derecognized based on a "more likely than not" threshold. This applies to positions taken or expected to be taken in a tax return. HITN does not believe its activities result in any uncertain tax positions. The tax years ended December 31, 2011, 2012, 2013 and 2014 are still open to audit for both federal and state purposes.”
