THE FWA OF NEW YORK, INC. (FWA) has a contract with an independent leasing company to provide human resource management, payroll services, benefit procurement, and administration in connection with the leasing company's employees that are placed with FWA.

the fwa of new york, inc. was incorporated as a membership organization. Part VI, Section A. - Questions 7a & 7B At the Annual Meeting of Members, the Members elect directors and officers. The Nominating Committee, which is elected by the Members, prepares the list of candidates for officers. The President-Elect prepares a list of Directors and Vice Presidents whom she has appointed and who are proposed for approval at the Annual Meeting.

Part VI, Section B. - Question 11B

Form 990 will be reviewed by members of the audit committee and provided to the board of directors before it is filed. The audit committee will have the opportunity to ask questions of the staff and tax preparer.

Part VI, Section B. - Question 12C

The Chair of the Audit Committee, which is charged with monitoring conflicts of interest, sits on the Board of Directors. Each Board member annually must complete a Conflict of Interest Questionnaire provided by the Corporation, and is required to update such Questionnaire as necessary to reflect changes during the course of the year. An interested Board member is required to promptly disclose to the President or the Audit Committee all material facts relating to any actual, potential or perceived conflict of interest. The Audit Committee or the President will evaluate the disclosures to determine whether they involve actual conflicts. The interested Board member shall recuse herself from the discussion and voting on the matter. If the Board determines that a Board member has in fact failed to comply with this policy, it must take appropriate action in accordance with the law and the Corporation's certificate of incorporation and by-laws, which may include removal from office.

Part VI, Section B. - Questions 15A & 15B

Compensation review is conducted by the Operations Resource Committee at its standing monthly meetings and special sessions in consideration of current compensation as compared to market data, using reference materials, current and potential proposed compensation as compared to industry conditions, the current and expected financial condition of the organization, performance of employee as compared to annual goals and reviews, history of compensation for employee, hire date of employee and any compensation commitments. The Operations Resource Committee unanimously agrees compensation recommendation, records unanimous agreement in the Committee meeting minutes and defines the compensation proposal for submission to the FWA's Executive Committee.

The FWA of New York, Inc. (THE "oRGANIZATION") haD a contract with a Professional Employer Organization (PEO) to provide human resource management, payroll services, benefit procurement, and administration in connection with the PEO's employees that are placed with FWA. Four PEO employees allocated their full time positions between the FWA and the FWA of New York Educational Fund (a Related Organization- see Schedule R) and are included in the Form W-3 filed by the PEO. PART III - LINE 1 THE ORGANIZATIONS MISSION, IN CONJUNCTION WITH THE MISSION OF ITS AFFILIATED ORGANIZATION, (FWA OF NEW YORK EDUCATIONAL FUND; EIN: 13-3092248; THE "ED FUND"), WAS TO ACCELERATE THE LEADERSHIP AND SUCCESS OF WOMEN ACROSS THE FINANCIAL COMMUNITY IN ALL INDUSTRIES, BY ADVANCING CAREERS, FOSTERING ALLIANCES AND PREPARING THE CURRENT AND NEXT GENERATION OF PROFESSIONALS. IN MAY OF 2016, ALL THE ASSETS (INCLUDING ALL THE MEMBERS) OF THE ORGANIZATION WERE TRANSFERRED TO THE ED FUND; THE ORGANIZATION WAS DISSOLVED IN NOVEMBER OF 2016 AND THE ED FUND CHANGED ITS NAME TO "FWA OF NEW YORK, INC." ON NOVEMBER 10, 2016. PRIOR TO ITS DISSOLUTION, THE ORGANIZATION SOUGHT TO FULFILL ITS MISSION BY: (1) PROMOTING A SPIRIT OF COOPERATION AND UNDERSTANDING AMONG ITS MEMBERS; (2) PROMOTING AND MAINTAINING HIGH PROFESSIONAL STANDARDS IN THE FIELD OF FINANCE AND IN THE FINANCIAL BUSINESS COMMUNITIES; (3) PROVIDING OPPORTUNITIES FOR ITS MEMBERS TO ENHANCE ONE ANOTHERS PROFESSIONAL ADVANCEMENT BY PROVIDING A STRONG NETWORK OF PROFESSIONAL CONTACTS, MUTUAL EDUCATION AND MUTUAL ENCOURAGEMENT; (4) ACHIEVING RECOGNITION OF THE CONTRIBUTION OF WOMEN TO FINANCIAL AND BUSINESS COMMUNITIES; AND (5) ENCOURAGING OTHER WOMEN TO SEEK PROFESSIONAL POSITIONS WITHIN THE FINANCIAL AND BUSINESS COMMUNITIES. PART III - LINE 3 On December 18, 2015, the Plan of Dissolution for FWA of New York, Inc. ("FWA") was approved by the Attorney General's Office of the State of New York. FWA Educational Fund is the successor entity to FWA's net assets. Therefore, during the 2016 fiscal year, FWA contributed funds consisting primarily of cash and cash equivalents, accounts receivable and investments totaling $1,511,855. In addition, the FWA Educational Fund assumed FWA's liabilities, consisting of $61,434 of unearned revenue resulting in a $1,450,421 contribution from FWA.

Part III - Line 4A

The membership committee designed strategies and events to grow the organizations membership, makes recommendations to the board about membership policies and supports member development through special events and partnering with programming committees on educating non members who attend events about the benefits of membership. International affairs and outreach: one of the organizations goals was to "bring the world to the fwa" by exploring issues that have a current impact on the economies and markets in both the developing and developed world. In furtherance of this goal, the organization's global agenda committee organizes an annual international conference. In 2016, the organizations international delegation visited singapore and hong kong. Professional development & continuing education: the organization's professional development and continuing education programs were designed to prepare, develop and mentor professionals via executive speakers, panelists, classes, seminars and networking opportunities. Continuing education programs focus on specific substantive areas, such as technology, entrepreneurship, impact investing and the not-for-profit industry, enabling participants to expand their knowledge, keep their competitive edge and stay relevant and adaptable. Programs were tailored to a range of constituents from the c-suite and senior executives, to mid-level professionals and entrepreneurs. Programming were focused on the new york city tristate area, and includes committees focused on new jersey, long island and westchester/connecticut. Although the organization's core focus was the financial industry, its members and guests represent a wide range of professions, including: law, governance, regulation, high-tech, and academia. In addition to networking with recognized experts and business dignitaries, members who work on these programs learned how to design and execute substantive, high level corporate and educational programs that can also be fundraising events for the organization, thereby giving members the opportunity to learn enhanced leadership skills and expertise. In 2015-2016, areas of focus for professional development and continuing education programming included: - directorship and corporate governance-programming is designed to: (1)educate members about cutting-edge corporate governance issues and for-profit and corporate board service; (2)assist women who are board-ready or wish to become board-ready to network; (3) assist members to hone pertinent skills and identify opportunities for potential board service; and (4)create opportunities to place members on public and private company boards. - distinguished speakers-using a "fireside chat" format, programs give participants the opportunity to hear the firsthand experiences of, and learn from, leading ceo's, cfo's and other senior executives in the financial industry, to obtain key knowledge that can be utilized to propel their career forward. - executive leaders-this committee designs special events for senior ranking executive women that provide an opportunity for peer-to-peer networking in exclusive settings. - impact investing/microfinance-builds awareness about impact investing, mobilizes new ideas in the socially responsible and sustainable investing industries, as well as creating networking opportunities in these industries. - mens alliance-substantive events promote dialogue and discussion amongst the organization's male and female members around a variety of topics that help to both education and inform participants about the challenges and opportunities in the workplace when men and women work together. Men's alliance initiatives also support womens career growth by leveraging mens positions in the business community to empower women to be more successful at work. - not-for-profit programming is designed to help members who work in, or are considering entering, the not-for-profit industry, which comprises about 10% of the economy of the new
