Governance Explanations

Form 990, Part VI, Section B, Line 11B

Honor bound foundation inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is applicable to all board members and officers of the organization. In connection with any actual or possible conflicts of interest, a board member or officer must disclose the existence and nature of his or her conflict to the board considering the proposed transaction or arrangement. After disclosure of the financial interest, the board member or officer shall leave the board or committee meeting while the financial interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The chairperson of the board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board or committee shall determine whether the organization can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest and for its own benefit and whether the transaction is fair and reasonable to the organization and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. The minutes of the board and all committees with board-delegated powers shall contain: 1. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the board's or committee's decision as to whether a conflict of interest in fact existed; 2. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection therewith. Each year the board members and officers shall sign a conflict of interest statement affirming that they have received a copy of the policy, has read and understood the policy, and has agreed to comply with the policy.

Form 990, Part VI, Section B, Line 15A

The organization's board of directors annually review and establish the president's compensation. Compensation was determined based on performance and economic factors. Periodically the board will examine the compensation of similar positions in the immediate geographic area as well as those throughout the region. The board's approval of his salary is documented in the minutes to the meeting. The last approval took place in january 2018.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation, form 990, form 1023, and by-laws are also available upon written request or by calling the organization directly.

Additional Explanations

FORM 990, PART IX, STATEMENT OF FUNCTIONAL EXPENSES:

The instructions for the statement of functional expenses do not require written explanation. However, in order to increase transparency and provide the users of the form with complete information about the organization's activities, management has chosen to submit the following note to part ix. Under generally accepted accounting guidelines, honor bound recognizes the gross sales price of autos as revenues when cars are sold at auction. These autos are sold by honor bound's third-party auto processor. The third-party auto processor is a for profit company which is paid auction, commission and advertising fees with the net amount paid to honor bound.

FORM 990, PART XII, LINE 2C:

The organization has a committee that assumes responsibility for oversight of the audit of its financial statements and selection of an independent accountant. The process did not change from the prior year.

Financial Statement Notes

PART X, LINE 2:

The foundation recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that foundation had no uncertain tax positions that would require financial statement recognition or disclosure. Foundation is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to july 1, 2015. Management is unaware of any potential examinations of prior year tax returns and is unable to determine the monetary amount of any additional taxes or penalties that might result from these potential audits.

PART XI, LINE 4B - OTHER ADJUSTMENTS:

Reclass cost of sales from donated vehicles to part ix 1,917,773.

PART XII, LINE 4B - OTHER ADJUSTMENTS:

IRS990/Desc0HONOR BOUND FOUNDATION PROVIDES URGENT ONE-TIME FINANCIAL ASSISTANCE TO VETERANS AND VETERAN FAMILIES IN CRISIS. SERVING OUR COUNTRY REQUIRES UNPARALLELED COURAGE AND COMMITMENT, AND VETERANS NATIONWIDE HAVE MADE SACRIFICES TO PROTECT OUR COUNTRY AND OUR FREEDOMS. BUT THE UNFORTUNATE TRUTH IS THAT MANY VETERANS STRUGGLE TO FIND STABILITY WHILE ADJUSTING TO EVERYDAY LIFE AFTER SERVICE. HONOR BOUND'S MISSION REFLECTS OUR COMMITMENT TO PROVIDING TIMELY AID TO VETERANS ACROSS THE COUNTRY. OUR NATIONWIDE PARTNERSHIPS WITH CASE WORKERS, SOCIAL WORKERS FROM THE VA, AND OTHER VETERAN ORGANIZATIONS INCREASE OUR REACH AND IMPACT WHERE IT'S NEEDED MOST. WHILE OTHER VETERAN SERVICE ORGANIZATIONS MAY REQUIRE EXTENSIVE DOCUMENTATION AND EXCLUSIVE CRITERIA, HONOR BOUND HAS A SIMPLE APPLICATION PROCESS DESIGNED TO MAXIMIZE THE REACH OF OUR AID. THE VA, FOR EXAMPLE, CAN TAKE UP TO TEN MONTHS ON AVERAGE- AND OFTEN OVER A YEAR- TO PROVIDE VETERANS THE BENEFITS DUE TO THEM AFTER SEPARATING FROM SERVICE. HONOR BOUND STANDS BY ITS PROMISE TO RESPOND QUICKLY AND EFFICIENTLY TO HELP VETERANS AND VETERAN FAMILIES IN CRISIS, OFTEN PROVIDING DIRECT PAYMENTS TO CREDITORS/VENDORS WITHIN 24-48 HOURS, ELIMINATING THE STRESS ON THE VETERAN AND THEIR FAMILY. MANY VETERAN SERVICE ORGANIZATIONS HAVE SPECIFIC CRITERIA FOR ASSISTANCE, FOCUSING ON A PARTICULAR CATEGORY SUCH AS POST 9-11 VETERANS OR VETERANS WITH PHYSICAL DISABILITIES. UNFORTUNATELY, MANY EVERYDAY HARD-WORKING VETERANS DO NOT FIT THIS CRITERIA. HONOR BOUND EXTENDS AID TO ALL VETERANS STRUGGLING WITH A WIDE RANGE OF ISSUES. IN 2018 ALONE, WE HELPED OVER 2,200 VETERANS WITH A VARIETY OF ESSENTIAL NEEDS- INCLUDING SECURITY DEPOSITS, UTILITIES, CAR REPAIRS, FOOD, MEDICAL EXPENSES, EDUCATION EXPENSES, AND MORE. IN ADDITION TO PERSONALLY ASSISTING THOUSANDS OF VETERANS AND VETERAN FAMILIES, HONOR BOUND ALSO PROVIDES GRANTS TO ORGANIZATIONS THAT EMBODY OUR MISSION AND EXTEND OUR AID ACROSS THE COUNTRY. IN 2018 HONOR BOUND GRANTED $75,000 TO BIRTH DEFECT RESEARCH FOR CHILDREN TO PROVIDE DIRECT ASSISTANCE TO VETERAN FAMILIES WHO HAVE EXPERIENCED BIRTH DEFECTS AS A RESULT OF AGENT ORANGE EXPOSURE DURING THE VIETNAM WAR.
