“The draft tax return is provided to the board of directors for review and approval prior to filing with the internal revenue service.”
“If a director or officer of the corporation has a conflicting interest respecting a transaction effected or proposed to be effected by the corporation (or by an entity in which the corporation has a controlling interest), such director or officer shall promptly disclose to the board of directors the existence and nature of the conflicting interest and all facts known to such director or officer respecting the subject matter of the transaction that an ordinarily prudent person would reasonably believe to be material to a judgment about whether or not to proceed with the transaction. After disclosure by a director or officer of a conflicting interest respecting such transaction, those directors who do not have either (a) a conflicting interest respecting the transaction or (b) a familial, financial, professional or employment relationship with a director or officer who does have a conflicting interest respecting the transaction shall explore whether the corporation could obtain with reasonable effort a more advantageous transaction from a person or entity that would not give rise to a conflicting interest, and determine whether the transaction is in the corporation's best interest and for its own benefit and whether it is fair and reasonable. In conformity with the above determination, such directors shall vote on the transaction. If the transaction receives the affirmative vote of a majority of such participating directors, their action shall be effective as the action of the board, provided that the number of such participating directors is at least two.”
