Governance Explanations

Form 990, Part VI, Section B, Line 11B

Washingtonville housing alliance has its form 990 prepared by an outside accounting firm and has established the following review process to insure that the information reported is complete and accurate. After the form 990 is prepared and reviewed by management, copies are distributed to the board members of the organization for their review. Each issue is documented and addressed. The return is finalized.

Form 990, Part VI, Section B, Line 12 C

Immediately upon election or appointment to the board, directors shall disclose any relevant interest which may pose a conflict of interest questions. Disclosure shall include any interest, financial or otherwise, in any corporation, organization, or partnership which provided professional or other services to the corporation. If a director becomes aware of a potential conflict during the year, he or she is required to notify the board, so that an appropriate action can be taken. No director shall vote on any matter in which he or she has an interest. The board may, by majority vote, ask any director who has an interest in a matter not to participate or to leave the room in which discussion is carried on; provided, however that the interested director may participate in any discussion regarding his or her execution. This policy is reviewed periodically by the executive committee of the board.

Financial Statement Notes

Schedule D, Part IV, Line 2B

The Organization holds security deposits from tenants in an escrow account. These deposits are returned to the tenants once they move out of the apartment.

Form 990, Schedule D, Part X, Line 2

Washingtonville housing alliance, inc. Is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. Accordingly, no provision for federal or state income taxes has been recorded in the consolidated statements of activities and changes in net assets. Wha has no unrecognized tax liabilities as of december 31, 2024 and 2023 and wha has no income tax related penalties or interest for the periods presented in these consolidated financial statements. With regards to the organization's for-profit subsidiaries, deferred income tax assets and liabilities are recognized for the differences between financial and income tax reporting basis of assets and liabilities based on enacted tax rates and laws. A valuation allowance is provided if it is more likely than not that some or all of the deferred tax assets will not be realized. The deferred income tax provision or benefit generally reflects the net change in deferred income tax assets and liabilities during the year. The current income tax provision reflects the tax consequences of revenues and expenses currently taxable or deductible on the organization's various income tax returns for the year reported. The primary deferred income tax items are net operating loss carryforwards.
