Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an independent accounting firm and is then reviewed by the executive director and the director of finance prior to distribution to the audit and finance committee for their review. Once the audit and finance committee approve the form 990, all board members receive a copy for their review and approval and the form 990 is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organization has a written conflict of interest policy which applies to directors, officers, and all employees who can influence the actions of the organization. Such persons are required to disclose annually interests that could give rise to conflict. Disclosures by employees are made to the chief executive officer (or if he or she is the one with the conflict, then to the board chair), who brings the matter to the attention of the board or duly constituted committee thereof. Disclosures involving directors are made to the board chair, (or if she or he is the one with the conflict, then to the board vice-chair) who brings the matter to the board or a duly constituted committee thereof. The board or duly constituted committee thereof determines whether a conflict exists, and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to the organization. The interested party or parties are excused from the room as the board of directors discusses the disclosure and determines if a conflict of interest exists. The decision of the board, or duly constituted committee thereof, on these matters rests in their sole discretion, and their concern is the welfare of the organization and the advancement of its purpose. Minutes from the board meetings contain the names of the person(s) who disclosed or otherwise were found to have a financial interest, the nature of the interest, actions taken to determine if a conflict exists, including the content of discussions held and alternatives proposed, the names of persons present for the discussions, and a record of any votes taken in connection with the proceedings.

Uau recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that uau had no uncertain tax positions that would require financial statement recognition or disclosure. Uau is no longer subject to examinations by the applicable taxing jurisdictions for the periods prior to 2021.
