“The organization has an executive committee that is authorized to act on behalf of the board, consisting of the officers and three trustees elected at the annual meeting. The executive committee shall have general power to oversee and conduct the business of the organization, subject to the authority and supervision of the board of trustees. By majority vote of the entire board of trustees, the board of trustees may delegate any of its powers to the executive board, subject to any conditions or restrictions it deems appropriate. The board of trustees may alter or revoke any delegation granted under this section by majority vote of the entire board.”

“The organization has members including individual members, family members, senior citizen members, student members, institutional members and honorary members. A member may belong to a category of membership either on an annual basis or on a permanent basis. A person, organization or institution may belong to an appropriate category of membership on an annual basis by paying the annual dues for that category of membership. A person, organization or institution may belong to an appropriate category of membership on a permanent basis by contributing money, property and/or services in an amount set by the board of trustees in accordance with the bylaws. Each category of membership may be divided into various levels, including benefactor, patron and sponsor, as well as any other membership levels that may be established by the board of trustees in accordance with the bylaws.”

“In addition to the president of the ukrainian women's league of america (unwla) or her substitute, half of the members of the board of trustees must be members of the unwla and shall be appointed by the unwla.”

“The membership must approve the dissolution of the organization. The members must also approve amendments to the by-laws.”

“The form 990 is prepared by an independent accounting firm. A copy of the form 990 is provided to the board for review prior to filing. The 990 must be approved with a majority vote.”

“The trustees of the board are required to annually complete a review stating that they are in compliance with the conflict of interest policy. This is monitored by the treasurer. If any conflict arose, it would be addressed based on the policy.”

“Form 990, part vi, section b, line 15a: compensation for all employees, including the museum director, is reviewed and approved by the executive board of trustees. Approval is indicated by a majority vote and must be documented. In order to determine a basis for the salary, the committee uses other form 990's to establish a reasonable basis for a salary. The last time this process occurred was during 2024. Form 990, part vi, section b, line 15b: the organization has no other officers or key employees.”
