“Richard e. Witten, co-chairman, and elizabeth h. Witten, board member - family relationship.”
“Management reviews the form 990 and then distributes it to the full board of trustees for review and comment before filing.”
“The conflict of interest policy covers all officers, directors and trustees and key employees. These individuals are required to respond to a disclosure form at the annual meeting of the board of directors, held in september of each year, wherein actual or potential conflicts of interest are disclosed. Determinations of conflict of interest are confined to the contemplation of transactions or arrangements or direct monetary compensation that might benefit the private interest of an officer, director, trustee or key employee. Individuals who have been determined as having a conflict of interest may not participate in decisions related to the conflict. Once a conflict of interest has been identified, specific procedures are in place for the board to elect to eliminate the conflict or to continue with the conflict in the context of full disclosure.”
“As part of the budgeting process, compensation reviews are performed annually for all administrative employees, as well as the ceo, officers and key employees. A number of factors determine the amount of the increase such as cost of living and an increase in responsibilities. Further, when considering compensation for the ceo, officers or key employees, research is conducted by reviewing salary surveys, comparability data from employment based web sites and guidestar.”
“Documents are not routinely made available to the public. The organization is responsive to written and phone requests.”
“-board designated endowment (quasi endowment) is used to assist in providing long-term institutional financial security while providing flexibility based on institutional priorities. Annual allocations per board approved spending policy serve general operations. -permanent endowment (loeb educational fund) is a restricted fund to assist in supporting educational programming, subject to board approved spending policy. -permanent endowment (fall for dance festival fund) is a restricted fund to ensure financial stability and continuation of the fall for dance festival, subject to board approved spending policy.”
