“In 2016 women's forum amended their by-laws the following are the significant changes: (1) a change in the time period after which the failure to pay annual dues will result in loss of membership, (2) changes to update the role descriptions and responsibilities of the "board officers" (president, vice president, treasurer and secretary),(3) changes to make a distinction between committees of the board and committees of the organization, and to specify the general composition and selection process of committees, as well as certain limitation on the scope of authority of the committees; and (4) the addition of a provision requiring the women's forum to provide indemnification to the fullest extent permitted by law to any director, officer, committee member or employee for judgments, fines, other amounts and reasonable expenses incurred by them in certain lawsuits and proceedings arising in connection with their service to the women's forum, subject to certain conditions and standards of conduct having been met.”

“The members shall be fixed by the board of directors from time to time, but shall not be less than 101.”

“The officers, directors, and membership-elected members of committees shall be elected at the annual meeting of the membership.”

“Amendments to the by-laws of the organization require the approval of the members.”

“The women's forum inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. After the form 990 has been prepared, it is reviewed by the board treasurer, a member of the finance committee, a former member of the executive committee of the board and the executive director with the outside accounting firm. Once it is ready to be filed with the internal revenue service ("irs"), it is electronically sent to the board members of the organization.”

“The women's forum has a conflict of interest policy. In accordance with the policy a conflict of interest statement is completed annually by directors and officers as well as management staff. If there is a potential conflict at the board level, the member will recuse herself from deliberations and voting on that issue.”

“The executive committee of the board completed a review of the executive director's compensation in december 2014. Comparable data from similar organizations was used to determine her salary. The board documented their review, and approval of the executive director's compensation.”

“The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code.
