Governance Explanations

Form 990, Part VI, Section A, Line 6

The northwest bronc community clergy coalition has a board of directors, whom are selected as follow: each affliated instiutional member of the northwest bronx community & clergy coalition has the opportunity to designate one board member that will oversee all legal responsibilities of the organization including the general management of the business, funds and property. The board officers, the president, vice president, treasurer and secretary are elected by the board of directors from slates of candidates eligible and willing to serve. Voters are installed to their respective officer's position.

Form 990, Part VI, Section A, Line 7A

Each affliated institutional member of the northwest bronx community & clergy coalition has the opportunity to designate one board member. 1) at the first board meeting after the annual meeting, when board members are appointed.2) when considering adding a board member.

Form 990, Part VI, Section A, Line 7B

Any decisions made by the board of directors are required to be made with at least a quorum of its members. Any action required or premitted to be taken at any meeting of the board of directors or any committee may be taken without a meeting if all of the members of the board or committee, as the case may be, consent in writing to the adoption of a resolution authorizing such action. The resolution and the related written consents by the members of the board or committee must be filed with the minutes of the proceedings of the board or committee.

After a full review of the form 990, controller and executive commitee present a recommendation to the board for their acceptance.

Form 990, Part VI, Section B, Line 12C

Board members are required to complete a certification of compliance with conflict of interest form upon becoming a board member. The conflict of interest is regularly and consistently monitored and enforced. The policy is dicussed at various times thoughout the year:1) it is discussed during the decision making to add a board member. 2) when a board member takes a leave of absence. 3) when there are changes to the board for example replacing a representative, taking a new position within the board, etc.

Form 990, Part VI, Section B, Line 15A

In hiring new employees, the board and the executive directors places a job description and interviews qualified candidates. Once an employee is hired a salary is negotiatied with the executive director and the board based on the qualifications and responsibilities of the employee. After 3 months, the employee goes through an evaluation. At the end of their first year, all employees receive an annual escalation and if they reach all of their benchmarks and their supervisors and the board feel they've performed at a high level, they board may authorize a raise. The board and executives director consider comparability with similar positions in similar organizations and our budget.

Form 990, Part VI, Section B, Line 15B

The board of directors places a job description for the executive director positions and interviews qualified candidates. Once the ed is hired, a salary is negotiated with the board based on the qualifications and responsibiltiies of the ed. After 3 months, the ed goes through an evaluation. At the end of teh year, the ed receives an annual evaluation and if all the expectation and benchmarks have been reached, and if funds are availablem the raise will be given as compensation.

NWBCCC is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code (the Code) and has been determined not to be a private foundation under Section 509(a)(1) of the Code. NWBCCC has adopted the provisions pertaining to uncertain tax positions and has determine that there are no material uncertain tax positions and has determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statement. Periods ending June 30, 2021 and subsequent years remain open to examination to applicable taxing authorities.
