“Wstda is managed by the association management company of stringfellow management group, inc. Wstda maintains its offices at smg's headquarters at 9 newport drive, suite 200, forest hill, md 21050. All regular wstda staff members are employees of smg and are provided to wstda on an as-needed basis. Smg and wstda have a letter of agreement that defines the responsibilities of the management firm. A management fee is negotiated that covers the cost of the wstda executive director, support staff, office equipment and office space.”

“Changes to bylaws: regular members - removed the membership restriction which required two years of prior experience in the industry, to be eligible for membership. Also require a regular member to maintain product liability insurance in a mimimum amount equivalent to us $1,000,000. Association members - extended membership to those who are actively engaged in the distribution of finished goods and/or secondary component materials and suplies; previously membership was only available to those that were engaged in manufacturing. A member may resign at anytime; however dues are not refundable. Voting during a regular scheduled association committee meeting shall be limited to regular and associate members serving on the committee, and only one vote per member company shall be allowed. Action requires affirmative vote from the majority of the committee members. Voting outside of a regular scheduled association committee meetings are allowed by email, phone, or fax. Action requires an affirmative vote of the majority of the committee members. Changed dues structure for new applicants: applications for membership must be submitted with membership fees equal to one hundred percent of the annual dues regardless of the quarter of the fiscal yaear the application was made. Upon renewal all new members pay 25%, 50%, 75%, or 100% of the annual dues, depending on the quarter during which they became memebers. A unanimous vote in the affirmative shall be required when action is done electronically by the board. A company shall be considered a subsidiary of the same parent company if two or more companies share common management, ownership and financial control. No member shall have more than three elected directors serving on the board at the same time. The directors shall elect, from the directors then serving, or from the members who have served on the board within the prior 2 years, a president-elect, who shall assume the position of president after one year of service as president-elect, or upon the office of prsident becoming vacant. If the president-elect is elected from the directors then serving, no vacancy shall be deemed to be created. If the president-elect is a member who is not currently on the board, then the size of the board shall be increased by one and the president-elect shall become a voting member of the board. If the board is unable to find at least one candidate willing to stand for election for the position of president-elect, the board may waive the requirement that the candidates come from the directors then serving or from members who have served on the board during the preceding 2 years. If the current president agrees to serve another term as president, then there shall be no election for a president-elect, until such time as the current president has but one year before the expiration of his/her term. Technical committees - if a chairman is appointed at any time other than at the spring meeting his/her term shall be for the remainder of that year and the entire following year.”

“Wstda's bylaws provide for three classes of membership: (1) regular, (2) associate, (3) affiliate.”

“Members of the board of directors are elected at the annual meeting of the association, by majority vote of those members present.”

“Each regular and associate member in good standing is entitled to one vote. The vote for each member is cast by its voting representative, or, in his/her absence, by its alternate representative. Proxy votes are not permitted.”

“If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.”
