Each member in good standing shall be entitled to one vote, in person, by mail, or by written proxy in the election of trustees and other matters.

Orange county citizens foundation inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization after the form 990 is filed with the irs

Form 990, Part VI, Section B, Line 12C

A person is deemed to have an "interest" in an enterprise when he or she, or a member of his or her immediate family, has some relationship with the enterprise that could be viewed as possibly compromising the person's loyalty to the foundation and obligation to make decisions that are only in the foundation's best interest. Such a relationship includes being employed by, having a contractual relationship with, being a member, owner, trustee, or officer of, or having a financial interest in an enterprise: (i) from which the foundation purchases or leases equipment, services, or supplies; (ii) with which the foundation negotiates real estate transactions (such as the leasing of space), and which either benefits from the real estate transaction or competes with the foundation in the leasing or purchase of real estate; (iii) which renders directive, managerial, or consulting services to any organization that does business with, or competes with, the foundation in providing services. The president will review any disclosure in light of the principles set forth in this policy statement, consult with counsel as necessary, and determine if such financial interest or outside relationship creates a conflict of interest, is improper, or creates the appearance of a conflict of interest or of improper conduct. The president will also review the information to determine if additional disclosures or other action is necessary. Full disclosure and recommendations will then be made to the executive committee as to the appropriate course of conduct or corrective action for the foundation and for the personnel involved. Once a final decision is made on how to proceed, the personnel will be instructed as to the course of action decided upon. If it is determined that an actual conflict of interest or an appearance of a conflict exists, corrective action must be taken. In this regard, corrective action will be taken even if there is a determination that only an appearance of a conflict exists, and not an actual conflict. An appearance of a conflict can be as damaging to the foundation as an actual conflict. Corrective action will include, at a minimum, the following: (i) the executive director and foundation personnel will take no part in the consideration or determination of the matter on the part of the foundation. In addition, any member of the board of trustees having any such interest shall not vote or be counted in determining the quorum for any vote on any transaction between the foundation and the other entity. Nor shall any member of the board of trustees participate in the deliberations or use personal influence in the matter, and any such transaction shall be at least as fair and reasonable to the foundation as would otherwise then be obtainable.

Form 990, Part VI, Section B, Line 15

The board of trustees shall be empowered to provide reasonable compensation using comparable data from similarly situated organizations, together with reimbursement for reasonably incurred expenses, for offices or positions not afforded voting privileges for purposes of corporate decision-making, as well as for the president. This process is documented in the board minutes and was last reviewed in 2018.

EACH SPRING THE CITIZENS FOUNDATION HOSTS A PLACEMAKING CONFERENCE TO BRING TOGETHER PEOPLE FROM ALL AROUND THE HUDSON VALLEY TO LEARN MORE ABOUT CREATING QUALITY "PLACES". SPEAKERS AND PANELISTS ARE EXPERTS IN THEIR RESPECTIVE FIELDS AND PROVIDE KNOWLEDGE TO THOSE WANTING TO IMPROVE THEIR OWN COMMUNITIES. IN 2019, OUR PLACEMAKING TOURS AND CONFERENCE WERE ATTENDED BY ABOUT 80 PEOPLE.

THE FIRST FOCUSED ON BRINGING NEW COMPANIES FOCUSED ON CBD PRODUCTION TO A TECHNOLOGICAL AND INDUSTRIAL COMPLEX IN WARWICK. THE SECOND FOCUSED ON BRINGING ARTIFICIAL INTELLIGENCE COMPANIES TO A RENOVATED DESERTED BANK BUILDING IN HIGHLAND FALLS. CITIZENS FOUNDATION STAFF ATTENDED MEETINGS, MET WITH COMPANIES, FARMERS, AND LOCAL OFFICIALS, PROVIDED TOURS AND CONDUCTED RESEARCH ON THE CBD AND AI INDUSTRIES. OUR WORK WILL RESULT IN DOZENS OF NEW COMPANIES STARTING, OR MOVING INTO, ORANGE COUNTY. IN 2019, THE 17-FORWARD-86 COALITION WAS LAUNCHED REPRESENTING THE DIVERSE INTERESTS OF STAKEHOLDERS IN THE HUDSON VALLEY WHO UNDERSTAND THAT THE UPGRADE AND EXPANSION OR ROUTE 17/INTERSTATE 86 WILL STRENGTHEN OUR ECONOMY BY IMPROVING ACCESS FOR TOURISTS AND BUSINESSES, WHILE ENHANCING COMMUTER SAFETY AND REDUCING ENVIRONMENTAL DAMAGE FROM IDLING VEHICULAR EMISSIONS.
