“Originally the bylaws specified 24 board members and 9 for a quorum. The revised information is below: article iv: board of trustees section 10. Quorum. A quorum shall be required for the legal and proper conduct of the business of the board of trustees. In the event that the board of trustees is fifteen (15) members or less, one-third (1/3) of the total number of members shall constitute a quorum for the transaction of any business. In the event that the board of trustees is greater than fifteen (15) members, five members plus one additional member for every ten (10) members (or fraction thereof) in excess of fifteen (15) shall constitute a quorum for the transaction of any business. When a quorum is once present to organize a meeting, it is not broken by the subsequent withdrawal of any trustees, so long as at least the minimum required number of members constituting a quorum remain present. Section 2. Number. The board of trustees shall consist of not less than five (5) nor more than thirty-five (35) individuals. The exact number at any given time shall be determined by resolution of the board of trustees adopted at the annual meeting or at a regular or special meeting of the board. As used in this article, the term "the entire board of trustees" shall mean the total number of trustees authorized by the board, assuming there are no vacancies. For clarity, any vacant positions shall not be included as part of the term "entire board of trustees" unless such positions are filled.”

“Any person or organization, incorporated or otherwise, who supports the goals of the foundation, upon payment of dues herein provided, may be eligible for membership.”

When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.”

“All trustees are required to update, sign and return the conflict of interest questionnaire annually. If a conflict of interest were to occur, it would be addressed by the executive committee. If it is deemed that a conflict of interest exist, the individual will be recused from voting on the transaction.”
