“The willow ridge country club, inc. (the "club"), was incorporated as a membership organization.”

“Elections shall be conducted by written secret ballots prescribed below.each category of membership shall have voting rights as more specificallydescribed in article vi, section 8 hereof:a) (i) the members of the nominating committee shall be designated on anannual basis by the board and shall have at least seven (7) members (thenumber thereof to be set by the board). The board shall select such membersfrom among those members in good standing of the club who have expressed tothe board, in writing, during the then current fiscal year of the club, byno later than july 31 of such year, a desire to serve on the nominatingcommittee, provided that no more than one member of the board shall beappointed to the nominating committee for any particular fiscal year unlessthe board shall otherwise determine that there shall not be a sufficientnumber of members of the club (other than members of the board) expressingsuch desire to serve.(ii) no member of the club shall serve on the nominating committee for morethan two (2) consecutive fiscal years of the club.(iii) a member of the nominating committee who shall then also be a memberof the board shall act as chairman of the nominating committee.(iv) no then-member of the nominating committee may be named as a candidateof election to the board at the then-upcoming annual election.(v) no one who has been a member of the club for fewer than three (3) years may serve on the nominating committee.(vi) in the event of a vacancy on the nominating committee, it shall befilled by the board at a regular or special meeting of the board.(vii) a schedule of the dates pertinent to the annual election and theconsideration of persons wishing to serve on the nominating committee shallbe published in a regular club mailing to members.b) the nominating committee shall, by no later than september 1 of eachfiscal year of the club, select a slate of candidates for election to theboard at the then-upcoming annual election. The number of nominees soselected shall, unless an insufficient number of members have expressed aninterest in being nominees, be at least one more than the number ofthen-projected vacancies on the board to be filled at the annual election.all nominees selected must have been a regular golf, tennis or socialmember for at least three (3) years, be a member in good standing andinterviewed by the nominating committee.c) any 25 regular, tennis or social members may nominate any one or moreregular, tennis or social members for election to the board at thethen-upcoming annual election, by submitting to the secretary of the board,not later than ten (10) days before the date fixed for the mailing of theballots to the members of the club, a petition for nomination, naming theproposed candidate(s) for election to the board, provided said candidate(s)have theretofore been interviewed by the nominating committee during itsregular interviews in connection with the selection of nominees for thethen-upcoming annual election.d) the names of all candidates fo election to the board shall be listed in alphabetical order on a ballot with an indication alongside each namesignifying whether each candidate is a petitioner or has been nominated bythe nominating committee.e) ballots shall be mailed to all voting members by september 30. Completedballots must be received in the club's offices no later than the secondsaturday in october, to then be tallied by a tellers' committee, dulyappointed by the president, on the second sunday in october.f) at the annual election, the five candidates receiving the greatestnumber of votes shall be elected to full three-year terms as members of theboard. If there are additional vacancies to be filled at such election, thecandidates receiving the next greatest number of votes shall be elected indescending order to the longest terms then vacant.g) provided a tennis member is duly elected to or is presently sitting onthe board, but is not serving as tennis committee chairperson, then in”
