“The by-laws ("by-laws") of new york chiropractic college ("college") delegate certain authority of the board of trustees of the college ("board") to an executive committee of the board ("executive committee") that consists of the chair of the board, the chair-elect of the board (when appropriate), the vice chair of the board, the president of the college, and two additional trustees of the board. The executive committee is responsible for evaluating the performance of the president and reviewing the compensation of the president and the officers of the college to ensure that their compensation levels are reasonable within appropriate college comparative benchmarks.”
