Governance Explanations

Form 990, Part VI, Section A, Line 2

Chris klein and julie klein have a family relationship.

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, it is reviewed by management and the audit committee. When it is ready to be filed with the internal revenue service, it is electronically sent to the board and subsequently filed.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. A. An interested person may make a presentation at the governing board or committee meeting, but after that presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. B. The president of the board of directors or chair of a board committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the board of directors or board committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or agreement.

Form 990, Part VI, Section B, Line 15A

The board uses salary surveys, as well as 990's of other organizations and professional compensation consultants for ceo compensation review. The board compares the salaries of its leadership and top management staff to those of other organizations of similar size within the same industry. The process is approved and documented in the board minutes. This process was last undertaken in september 2024. The ceo determines the compensation review process for the director of finance and director of nursing. The ceo reviews performance and survey data. The review and approval by the personnel committee of the board is involved when necessary.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request or by calling the organization directly.

Methodist home for nursing and rehabilitation (the home) is dedicated to providing a comfortable, intimate haven for men and women in need of skilled medical, nursing, and rehabilitation care. The home's services and programs promote health, dignity and independence to those we serve directly and to our extended community. As a significant enhancement to the services we provide our residents and community, we have collaborated with the rogosin institute to offer onsite hemo-dialysis services to our inpatient residents requiring dialysis, while also extending these services on an outpatient basis to cater to the broader community.
