“The american psychoanalytic association is committed to being a professional membership organization for psychoanalysts, psychoanalytic psychotherapists, academics, researchers, students, and other interested people - all whose work is profoundly informed by psychoanalytic theory and values, and to support their education and continuing professional development. There shall be three classes of membership: clinical members psychoanalyst member (active members) senior member (senior members) psychoanalyst-in-training member (candidates members) life members psychotherapist member (psychotherapist associates) psychotherapist-in-training member (psychotherapist associate trainee) academic members academic member (academic associates) academic-in-training member (academic associates candidates) researcher member (research associates) community members community member student member (student/resident associates) honorary member each class of membership, with the exception of the class of community members (includes honorary members, student members and community members), has voting rights and has one vote at each meeting of members.”

“Any member eligible to vote may elect one or more members of the governing body. The positions that members elect include president-elect, secretary, treasurer, and councilor-at-large.”

“On an annual basis, all board members are provided with a copy of the conflict of interest policy and are required to complete and sign a acknowledgment and disclosure form. All completed forms are provided to and reviewed by the apsaa committee on council. Any potential conflict of interest which could result in a direct or indirect financial or personal benefit to a director, officer, or staff member must be disclosed in good faith to the board of directors or committee authorizing a contract or other transaction. The interested individual may participate in the information-gathering stage of the board of directors, or committees, discussion but will retire from the room in which the board of directors or committee is meeting and will not participate in the final deliberation or decision regarding such contract or other transaction. The interested individual may not vote on such contract or other transaction. Interested directors may be counted in determining the presence of a quorum at the meeting of the board of directors or of a committee which authorizes the contract or other transaction. The minutes of the meeting of the board of directors or committee will reflect: (a) that the conflict of interest was disclosed; (b) that the interested director, officer, or staff member was not present during the final discussion or vote of the board of directors or committee; and (c) that the interested individual abstained from voting. All questions as to whether a conflict of interest exists will be resolved by a vote of the board of directors in which the interested individual may not vote.”
