The ethics resource center (erc), established in 1922 and incorporated in 1942, is a private, nonprofit organization devoted to independent research and the advancement of high ethical standards and practices in public and private institutions.erc's expertise also informs the public dialogue on ethics and ethical behavior. Erc researchers analyze current and emerging issues and produce new ideas and benchmarks that matter - for the public trust.

Governance Explanations

Form 990, Part VI, Section B, line 11

A combined committee meeting (Audit and Finance) will meet to review the draft annual audit and federal Form 990 in person or by webcast/teleconference in advance of the filing date. This meeting is open to all interested board members. Both the Auditor and Tax accountants are present for discussions. If the Board of Directors is satisfied, they will accept the report and the federal Form 990 will be filed with the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

As stated in the Center's governing policies, directors and officers must openly disclose to a member of the Governance Committee a potential, real or perceived conflict of interest which pertains to an open matter or transaction before the Board of Directors, as soon as the issue arises and before the Board of Directors or its Committees make any decisions which involve a potential conflict. If there is any question of doubt about the existence of a real or perceived conflict, the Governance Committee will determine by majority vote if a conflict exists. The person potentially in conflict shall be absent from the discussion and vote. Board members sign a copy of the Conflict of Interest Policy annually.

Form 990, Part VI, Section B, line 15A

The President's salary is determined and voted on by the Center's Board of Directors. The President provides the Board of Directors a written self-evaluation. During the July Board of Directors meeting, the Board of Directors conducts an annual performance review and considers measures such as financial performance of the entity, economic challenges, strategic goals etc. The Board of Directors is provided competitive salary information from up to three sources for comparative positions within similar organizations prior to making salary recommendations that exceed 2% of annual salary. The Board of Directors meets in Executive Session and votes on any salary or benefit changes. All other senior managers and other key employees are reviewed annually by the Center's President and related written documentation is kept on file in accordance with the Document Retention Policy.

IRS990/Desc0The Center has two award programs: Stanley C. Pace Award for Leadership in Ethics and the Carol R. Marshall Award for Innovation in Corporate Ethics. In 2013 the Center honored Howard Schultz, Chairman, President and Chief Executive Officer and the employees (partners) of Starbucks Coffee Company, with the Stanley C. Pace Award for Leadership in Ethics. Created to honor individuals recognized as having unwavering integrity, The Pace Award was established in 2000. The Center chooses an honoree who exhibits moral vision, as well as the ability to translate that vision into specific goals. Mr. Schultz was selected to receive the award because of his demonstrated ethical leadership in establishing a values-based organization with high standards of quality, service to the community, and respect for humanity. The company was also selected because of its well-implemented ethics and compliance program, designed to perpetuate Mr. Schultz's strong tone from the top.Also in 2013, the Center named John C. (Jack) Lenzi, ITT's Vice President, Corporate Responsibility & Chief Ethics Officer, as the 3rd recipient of the Carol R. Marshall Award for Innovation in Corporate Ethics (Marshall Award). Established in 2011, the Marshall Award recognizes a chief ethics and compliance officer for innovation and leadership in building or enhancing a corporate ethics and compliance program. The Center selects an honoree who serves as a role model for emerging leaders in the profession. Mr. Lenzi was selected by the Center through numerous recommendations from his peers in the ethics and compliance field, identifying him as a practitioner who both personally and professionally embodies the ideal behaviors of all ethics programs. His approach offers honest conversations stimulated through innovative training and customized strategies to not only train, but engage employees in ITT's ethics program.
