Any such individuals are required to confer with either the president or vice president of finance and administration if they, or the institution, suspect a relationship or transaction poses a conflict of interest. Either the president or vice president of finance and administration will consider the potential for a conflict and appropriate steps necessary to avoid or remediate that conflict. Moreover, as part of the board's ongoing assessment of itself, compliance with the institution's conflict of interest policy is routinely evaluated and enforced.”

“The board of trustees periodically retains the services of a compensation consultant to evaluate compensation for the institution's ceo and other key employees. The compensation consultant uses contemporaneous compensation data by position and adjusts for size, complexity, operating budget and location of institution. Salary and benefit levels for the president and senior staff (vice presidents) are evaluated on the occasion of the appointment of a new (and the sitting) president. Compensation for the ceo is reviewed during the negotiations of the ceo's multi-year contract. Any substantial increase in salary is based on comparable data, performance and progress toward researching established goals and benchmarks. The board chair determines any substantial increases in salary for the president. The president makes the determination about the salary increases for key employees, in consultation, if necessary, with the financial overview committee.”
