The institute has the following classes of membership: full - companies organized and based in north america (defined to be the united states of america, canada, and mexico) and actively engaged in north america in the following activities: 1. Closed feedwater heater section: full members actively engaged in north america in the design, manufacture, and sale of low pressure and high pressure closed feedwater heaters during the most recent three-year period prior to the date of their application; 2. Condenser section: full members actively engaged in north america in the design, manufacture, and sale of steam surface condensers during the most recent three-year period prior to the date of their application; 3. Shell and tube heat exchanger section: full members actively engaged in north america in the design, manufacture, and sale of shell and tube heat exchangers encompassed by the hei standard for a period of not less than three years immediately prior to the date of their application; 4. Plate heat exchanger section: full members actively engaged in north america in the design, manufacture, and sale of plate heat exchangers encompassed by the hei standard for a period of not less than three years immediately prior to the date of their application; 5. Vacuum technology section: full members actively engaged in north america in the design, manufacture, and sale of vacuum apparatus for a period of not less than three years; 6. Deaerator section: full members actively engaged in north america in the design, manufacture, and sale of deaerators for a period of not less than three years. 7. Air cooled condenser section: full members actively engaged in north america in the design, manufacture, and sale of air cooled condensers during the most recent three-year period prior to the date of their application; hereof shall be eligible to apply for full membership in the institute and those sections for which the company meets the eligibility requirements. To be considered a manufacturer, the company must either own its own manufacturing facility or take responsibility for the manufacture of institute scope products, including performing all required design and engineering of the product, being responsible to its customers for quality assurance, and fabricating the product or having it fabricated by subcontractors pursuant to a written agreement that reserves to the company the foregoing responsibilities. In addition, the company must demonstrate to the satisfaction of each section to which it has made application that it has the current engineering capabilities and historical experience designing and manufacturing products designed and manufactured to institute standards to enable it to contribute to the technical work of the section. Associate - companies organized and based in north america and actively engaged in north america for a period of not less than one year as a manufacturer of such key components or supplier of such raw materials as designated from time-to-time by the institute and used in the manufacture of closed feedwater heaters, condensers, power plant heat exchangers, steam jet ejectors, liquid ring vacuum pumps or deaerators shall be eligible to apply for associate membership in the institute. Associate members also shall be members of a section composed of manufacturers or suppliers of like components or materials.

Each full member shall be entitled to one vote on all matters presented to the membership of the institute or to a section thereof, with which such member is affiliated. Associate members, as a group, shall be entitled to one vote for every five (5) associate members, but in no case shall the associate members, as a group, have more than 2 votes or less than one vote on all matters presented to the membership of the institute. Each associate member shall be entitled to one vote on all matters presented to the membership of the section to which it belongs. The vote of each member at meetings of the institute or section thereof shall be cast by its voting representative(s). In the absence of its voting representative(s), the vote of that member or associate section may be cast by the associate representative who is present and is authorized to vote. The executive committee shall consist of one representative of each full member of the institute and the representative(s) duly appointed by the associate section.

Financial Statement Notes

PART X, LINE 2:

The provisions of "accounting for uncertainty in income taxes" prescribe a recognition threshold and a measurement attribute for the financial statement recognition and measurement of tax positions taken or expected to be taken in a tax return. For those benefits to be recognized, a tax position must be more-likely-than-not to be sustained upon examination by taxing authorities. The amount recognized is measured as the amount of the benefit that is greater than 50% likely of being realized upon ultimate settlement. The institute recognizes interest and penalties accrued, if any, related to unrecognized tax uncertainties in income tax expense. The institute has determined that there are no material uncertain tax positions.
