The institute is managed by thomas associates, inc., who provides all supporting and management duties.

The institute has one class of membership - corporations, firms, and individuals actively engaged in the manufacture of air and gas compressors, pneumatic machinery, and compressed air and gas drying equipment.

Form 990, Part VI, Section A, Line 7A

Each member shall be represented in the corporation by one duly designated executive voting representative and in each section with which the member is affiliated, by such of its proprietors, officers or employees as the member may designate. Each member shall designate which of its representatives shall have the power to vote at meetings of the sections with which the member is affiliated. A member may change or withdraw his representatives at will by giving written notice to the corporation. The secretary shall canvas the membership annually to maintain up-to-date listings of such representation. At the last regular meeting of members preceding the annual meeting of members, the board of directors shall appoint a nominating committee with instructions to present a slate of nominees for members of the board of directors at the forthcoming annual meeting of members.

The institute's volunteers must assume the obligations of avoiding conflicts of interest. A conflict of interest can exist when an individual participates in the decision-making process on an institute issue while having, at the same time, other professional or personal business that could bias the person on that issue. The volunteer has the responsibility to give undivided loyalty to the institute and its mission. If a volunteer has a conflict of interest, the individual must notify the institute of the conflict and take whatever action is necessary in cooperation with the institute.

Financial Statement Notes

PART X, LINE 2:

The provisions of "accounting for uncertainty in income taxes" prescribe a recognition threshold and a measurement attribute for the financial statement recognition and measurement of tax positions taken or expected to be taken in a tax return. For those benefits to be recognized, a tax position must be more-likely-than-not to be sustained upon examination by taxing authorities. The amount recognized is measured as the amount of the benefit that is greater than 50% likely of being realized upon ultimate settlement. The institute recognizes interest and penalties accrued, if any, related to unrecognized tax uncertainties in income tax expense. The institute has determined that there are no material uncertain tax positions.
