Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is comprised of the officers of the board, and all are members of the governing body. The executive committee may exercise, subject at all times to the general direction and control of the board, all of the powers and authority necessary to conduct the normal operations of the academy, including authorization to sign documents on behalf of the academy. The executive committee does not have the authority with regard to the submission to the academicians of any action requiring their approval, the filling of vacancies on the board or in any committee, the amendment or repeal of the bylaws or the adoption of new bylaws, the amendment or repeal of any resolution of the board, which by its terms shall not be so amendable or repealable, or the fixing of compensation of the directors for serving on the board or any committee.

The membership of the academy consists of painters, sculptors, architects and workers in the graphic arts who have been elected to membership. The number of academicians is limited to 450. The academy has two (2) classes of academicians, corresponding to the two (2) professional classes promoted by the academy: visual arts and architecture.

Academicians (members), who are artists and architects selected by peers, elect the governing body.

The body of the academicians shall have the sole power to authorize: (a) the mortgage or other disposition of any real property owned by the academy and occupied and used by the schools, exhibitions, galleries, the museum and administrative offices of the academy and (b) the sale or disposition of any work of art owned by the academy.

The committee reviews compensation of museum directors at museums with similar budgets in new york city. All salaries and salary ranges for positions are aligned with or exceed non-profits arts organization standards found in annual salary reports, such as american association of museum directors, pnp staffing group, and nonprofit new york, among others.

Financial Statement Notes

PART III, LINE 1A:

The academy has extraordinary collections of paintings, sculptures and works on paper dating from the late eighteenth century to the present. In addition, it has a substantial body of archival material related to the history of the academy and its artist members. A rotating selection from the collections are usually exhibited in its galleries and the collections are also made available for research by scholars or other interested parties. The academy employs a curator to ensure that the collections are protected and preserved. Most works of art owned by the academy have been given by its artist members in order to fulfill membership requirements, while a smaller group of works have been donated by others. The collections are maintained for the promotion of american art, rather than for financial gain. In conformity with accounting policies generally followed by art museums, the value of the academy's collections has been excluded from the statement of financial position.

PART III, LINE 4:

The collections are comprised of approximately 8,000 paintings, drawings, sculptures, and works on paper, all contributed by individuals elected as academicians. The collections enable one to contextualize the place of the national academy within the narrative of american art, and showcase the prominent role it has played in the cultural and artistic life throughout the nineteenth, twentieth and into the twenty-first century.

PART V, LINE 4:

Earnings from the academy's endowment funds are used to support the academy's programs and general operations.
