The Conference Board used the following procedures in order to establish a rebuttable presumption that the compensation was reasonable: The organization commissioned an independent compensation consultant, Aon Hewitt, to conduct a compensation study benchmarking TCB's compensation against that paid by comparable peer organizations. The study assessed the current and proposed compensation paid to TCB's CEO and other disqualified persons against the compensation paid by 19 peer organizations. The results of this study were presented to the disinterested members of the Organization's Board of Trustees, which assessed the comparability data against performance reviews before approving the compensation package of the CEO and each disqualified person. Any trustees with a conflict of interest with respect to the disqualified persons whose compensation was being considered, including those who are also paid employees of TCB (including the CEO), recused themselves from the compensation approval process, beyond providing information to and answering questions from the Board. All compensation decision making was documented contemporaneously in minutes of the meetings of the Board."”
