“The Executive Committee shall consist of the President, the Immediate Past President/President, the Treasurer, the Vice President for each of the designated RI regions, with the Deputy Vice-President as alternate; and The Chair of each Standing Commission, with the Commission Vice Chair as alternate. At least 50% of the members of the Executive Committee shall be persons with disabilities. Also, the Secretary General shall participate ex officio, without voting rights, in the Executive Committee. The Executive Committee shall be responsible to prepare the provisional agenda for the meetings of the Governing Assembly and to act between meetings of the Governing Assembly on issues of an urgent nature, except that it shall not act on issues specifically reserved to the Governing Assembly. The Executive Committee shall have the authority to make all decisions and take all actions on behalf of the organization and exercise all of the organization's powers arising in connection with its status as the sole member of the RI Foundation. The Executive Committee shall be responsible for submitting the names of representatives to serve on the board of directors of the RI Foundation to the Governing Assembly for its approval. In the interim between regularly scheduled annual meetings of the Governing Assembly, the Executive Committee shall designate representatives to fill vacancies or newly created directorships on the board of directors of the RI Foundation, which designees shall not require the approval of the Governing Assembly and shall hold office until the next regularly scheduled annual meeting of the Governing Assembly. The Executive Committee shall have powers to make by-laws for regulating the conduct and affairs of the organization provided that the same is not inconsistent with the provisions of the Constitution and the responsibilities specifically reserved to the Governing Assembly. The Executive Committee is authorized to co-opt consultants as may be required.”

“Membership includes governmental agencies and non-governmental organizations, including voluntary and private organizations, public and private not-for-profit rehabilitation providers, disability advocacy organizations, consumer organizations, self-help groups and individuals. Categories of memberships are: (a) National Member Organizations (b) Associate Member Organizations (c) International Member Organizations (d) Corresponding (Individual) Members”

“The Governing Assembly shall consist of representatives designated by the National Member Organizations and International Member Organizations. The maximum number of representatives that each National Member Organization may designate shall be determined by the voting privileges allocated to that National Member Organization up to a maximum of eight. Each International Member Organization may designate one representative to the Governing Assembly. The Governing Assembly shall have power to elect or appoint members of the governing body.”

“The Governing Assembly shall establish the general policies of the organization, including policies regarding the application for membership, financial policies and the budget, which, at each regular meeting of the Governing Assembly shall be approved for the two subsequent years. It shall review the accounts of the organization and the activities of the Executive Committee. It shall also be entitled in its discretion to terminate the membership of a member organization, which it considers is not or is no longer, at least for the time being, entitled to recognition as such. It may designate consultants to facilitate the work of the organization. The Governing Assembly shall, at each regular meeting, vote on the election of representatives nominated by the Executive Committee to serve on the board of directors of the RI Foundation. It is recommended that at least 50% of the members of the board of directors of the RI Foundation should be persons with disabilities, or parents or legal guardians of persons with disabilities.”

“Form 990 is prepared by an independent CPA firm and reviewed in detail by the organization's top management. The reviewed Form 990 is then provided to the board of directors prior to filing with the IRS.”

“The organization requires all officers and board members to annually complete and sign a conflict of interest questionnaire. The President is responsible for reviewing the signed statements and ensuring that interested persons are in compliance with the conflict of interest policy. The Secretary General reviews the President's signed statement. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.”

“The board of directors approved a search committee to review and recommend the compensation amount for the Secretary General to the Executive Committee. Comparability data was used and this process was documented.”
