Governance Explanations

Form 990, Part VI, Section B, Line 11B

The cfo prepares the initial draft of the form 990 and all applicable schedules, which is reviewed by the outside accounting firm. Once all comments/questions are cleared, the form 990 is emailed to all members of the board for review prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

A conflict of interest questionnaire is distributed to board members, officers and key employees near the end of the fiscal year. It is distributed along with a list of the board members, officers and key employees and a list of vendors paid more than $50,000 during the fiscal year. The questionnaire asks if any the following types of relationships existed during the year: family, employment, contractual, business ownership and compensation. If a "yes" is indicated they are then asked to disclose a brief description of the relationship. The interested director shall refrain from voting and from prejudicing or biasing other persons involved in the deliberations, provided, however, that the interested director may be counted in determining the presence of a quorum at the meeting which authorizes the contract or transaction.

Form 990, Part VI, Section B, Line 15

The compensation for the president is set by the chair of the board of directors and the executive committee of the board of directors, on appointment after conducting a benchmarking exercise of similar roles, using data taken from 3rd party organizations. The committee is comprised of independent members of the governing board. Other benefits received by the president are in accordance with standard terms and conditions of employment for all us - based employees of engenderhealth. Thereafter, increasing compensation for the president is in accordance with terms & conditions for engenderhealth staff in the us, with an additional review against benchmarking data by the executive committee. The president's compensation may also be subject to additional terms as may be negotiated in the employment contract. This process was last undertaken during fy18. Contemporaneous substantiation of these deliberations and decisions are accomplished through minutes of the committee's meetings. For other officers and key employees, compensation is set by the president after conducting a benchmarking exercise of similar roles and using data taken from 3rd party organizations. Other benefits received by the other officers and key employees are in accordance with engenderhealth's standard terms and conditions of employment for all us-based employees. Increasing compensation for the other officers and key employees is in accordance with terms & conditions for engenderhealth staff in the us. The compensation may also be subject to additional terms as may be negotiated in the employment contract. This process was last undertaken during fy18. Additionally, the board of directors reviews and approves the salary increase pool for all engenderhealth employees as part of the fiscal year budget.

We do this by sharing our expertise in sexual and reproductive health and transforming the quality of health care. We promote gender equity, advocate for sound practices and policies, and inspire people to assert their rights to better, healthier lives. Financial Statement Notes

PART V, LINE 4:

The income generated from the endowment fund is intended to be used to provide engenderhealth with the resources to ensure the continuity of its ongoing programs around the world, thereby allowing the organization to bridge funding gaps and to meet other emergent needs when funding is not available. Instead of adjusting the beginning of year endowment net assets for 2015 of $220 to reflect changes in endowment, this change is reflected in other expenditure for 2015.

PART X, LINE 2:

Engenderhealth recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that engenderhealth had no uncertain tax positions that would require financial statement recognition or disclosure. The organization is no longer subject to examination by the applicable taxing jurisdictions for years prior to june 30, 2015.

[SEE CONTINUATION ON SCHEDULE O]ENGENDERHEALTH'S IMPACT:- IN FY 2018, ENGENDERHEALTH OPERATED PROGRAMS IN 18 COUNTRIES PHILIPPINES, BANGLADESH, INDIA, ETHIOPIA, KENYA, UGANDA, TANZANIA, MOZAMBIQUE, BURUNDI, DEMOCRATIC REPUBLIC OF CONGO, TOGO, BURKINA FASO, NIGER, MAURITANIA, COTE D'IVOIRE, NIGERIA, SENEGAL, AND USA.- ENGENDERHEALTH PROGRAMS ENABLED OVER 6.2 MILLION WOMEN, GIRLS, MEN, AND BOYS TO RECEIVE FAMILY PLANNING COUNSELING. OF THESE 4.1 MILLION RECEIVED A CONTRACEPTIVE METHOD, 2.2 MILLION OF WHOM CHOSE A LONG ACTING OR PERMANENT METHOD.- THESE SERVICES MET OR EXCEEDED MOST OF OUR COMMITMENTS FOR THE CURRENT YEAR FOR FAMILY PLANNING 2020. ENGENDERHEALTH, - TRAINED 17,428 HEALTH CARE PROVIDERS, INCLUDING DOCTORS, NURSES, COMMUNITY HEALTH WORKERS, WHO RECEIVED TRAINING IN COUNSELING FOR FAMILY PLANNING, CLINICAL TECHNIQUES AND CONTRAINDICATIONS FOR FAMILY PLANNING METHODS, POST-ABORTION CARE, SAFE ABORTION CARE, FISTULA, SEXUAL AND GENDER-BASED VIOLENCE, AND YOUTH FRIENDLY SERVICE DELIVERY. - SUPPORTED ALMOST 7,500 HOSPITALS AND HEALTH CENTERS TO DELIVER BETTER CARE. - REACHED 24.5 MILLION PEOPLE WITH SEXUAL AND REPRODUCTIVE HEALTH INFORMATION.- AS A RESULT, ACCORDING TO AN IMPACT CALCULATOR WIDELY USED IN OUR SECTOR: - MORE THAN 3.5 MILLION UNINTENDED PREGNANCIES WERE AVERTED - 50,000 CHILD DEATHS WERE PREVENTED - 5,500 MATERNAL DEATHS WERE PREVENTED - 1.35 MILLION UNSAFE ABORTIONS WERE AVERTED- $40M INVESTED BY ENGENDERHEALTH AVERTED $199M IN DIRECT HEALTH CARE COSTS. - IN ADDITION, THE FISTULA CARE PLUS (FC+) PROGRAM SUPPORTED 3,204 SURGICAL FISTULA REPAIRS AND 242 NON-SURGICAL REPAIRS.
