There are 5 classes of membership: (a) occupational therapist (ot): any individual initially certified to practice as an ot or licensed or regulated by a state, commonwealth, district, or territory of the united states to practice as an occupational therapist and who has not had that certification, license, or regulation revoked due to disciplinary action shall be eligible to be an occupational therapist member. (b) occupational therapy assistant (ota): any individual initially certified to practice as an ota or licensed or regulated by a state, commonwealth, district, or territory of the united states to practice as an occupational therapy assistant and who has not had that certification, license, or regulation revoked due to disciplinary action shall be eligible to be an occupational therapy. (c) occupational therapy student (ots): any individual enrolled in an occupational therapy educational program that is accredited or pending accreditation by the accreditation council for occupational therapy education (acote) and that is located in the united states, or in a state, commonwealth, district, or territory of the united states, shall be eligible to be a student member. (d) organizational: an organization, institution, or agency interested in occupational therapy may be an organizational member. (e) associate: an individual interested in occupational therapy who does not satisfy the requirements of subsections a, b, c, or d of this section may be an associate member.

The current policy defines a conflict of interest and imposes on any member of the board or other organization committee to declare any perceived actual or potential conflict of interest. The policy imposes on the association the burden to determine if a conflict exists. The enforcement process is augmented by the requirement that all persons who serve the association sign a consent to serve statement requiring such person to agree to faithfully carry out their duties in accordance with association governance documents. The completed consent to serve statements are maintained by the association and are available to enforce any violation of the conflict-of-interest policy. The policy is also enforced by outside legal counsel explaining the policy, in detail, and answering any questions related thereto as part of the new board member orientation process. Aota's bylaws provide for censure and removal of elected officials. The section of the bylaws defining acts that may constitute grounds for removal identifies failure to declare a material conflict of interest as grounds for removing an elected or appointed volunteer.

Compensation for the executive director and other key employees are linked to performance goals established annually. Typically, the executive director receives and 360 degree performance appraisal every year (including the board and other key staff members). The secretary of the board of directors keeps confidential minutes of the deliberations of the board concerning the executive director. Key employees' compensation is determined based on comparable survey data and the internal grade system.

Financial Statement Notes

PART V, LINE 4:

Net assets of aota that are restricted for a specified purpose are restricted to provide scholarships to students who wish to take occupational therapy courses. Net assets with restrictions that are held in perpetuity are restricted by the donor with the related investment income earned to be used for educational programs. The board of directors of the association has adopted investment and spending policies for endowment assets with a goal to preserve the principal while generating investment income for scholarships.

The association performed an evaluation of uncertainty in income taxes for the year ended june 30, 2024, and determined that there were no matters that would require recognition in the financial statements or that may have any effect on its tax-exempt status
