According to apta staff policy #205, staff are required to disclose to their vp or evp any situation where they may have a potential conflict. In these cases, staff may not participate in any decision making related to the conflict. Attached are copies of both the board and staff policies.”

Financial Statement Notes

PART X, LINE 2:

“Apta, a.p.t. Properties, pt fund, and the pt pac are exempt from the payment of federal income taxes on their exempt activities under section 501(c)(6), 501(c)(2), 501(c)(3), and 527, respectively, of the internal revenue code (irc). The llc is considered a disregarded entity for federal income tax purposes. The organization is subject to tax on any unrelated business income. Pt fund has not been classified as a private foundation under section 509(a)(2) of the irc. Management has concluded that each entity has maintained its exempt status and that there are no uncertain tax positions as of december 31, 2019 and 2018. Apta generates unrelated business income that is subject to federal and state income taxes. For tax and consolidated financial statement purposes, apta had loss carry forwards from unrelated business income activities totaling approximately $2,962,000 and $2,333,000 as of december 31, 2019 and 2018, respectively, which may be used to offset future taxable income. Management has determined it is not probable this carryforward will be utilized in future years, and thus no deferred tax asset has been recorded on the consolidated statements of financial position. A.p.t properties, pt fund, pt pac, and the llc had no unrelated business income for the years ended december 31, 2019 and 2018.”
