Governance Explanations

Form 990, Part VI, Section A, Line 6

Class membership - in accordance with the articles of incorporation paragraph (c), the society will have one class of member, namely, participating. Designated representatives: for balloting of general society matters, each member company must designate one and only one representative to represent the interests and vote on behalf of that member company. Each member company should also designate an alternate representative to serve in the absence of the designated representative. The individuals who serve as the designated or alternate representatives may be replaced at the discretion of the member company. Each member company represented on a standing or technical committee shall designate a person to represent the interests and vote on behalf of that member company on matters balloted in such committees. Each participating member company through its appropriate representative shall be entitled to a single vote on any matter presented to the membership of the society or to any committee or subcommittee on which it is represented.
