“The executive committee is comprised of the acbl president, vice president, and three (3) additional at-large members of the board of directors. The purpose of the executive committee is to transact business of a time-sensitive nature requiring immediate action between board of directors meetings, subject to limitations. The executive committee is answerable to the board of directors and subject to its general direction. The minutes of the executive committee are required to be submitted to the board of directors within fourteen (14) days of the conclusion of the executive committee meeting.”

“Acbl is a membership organization. The acbl jurisdiction is divided into 13 geographical areas, known as regions. A region is created for purposes of selecting members of the acbl board of directors only. Each region is divided into districts and each district is divided into units. Acbl issues a charter or affiliation agreement to each district and unit, which outlines the powers and responsibilities under the agreement. Members of the acbl belong to the unit in which they reside. Acbl has eight (8) classes of membership - general member, honorary member, junior member, youth member, foreign member, patron member, century club, and guest member. With the exception of guest members, all classes of membership shall have the right to vote in any election which the general membership is the electorate as long as he or she is a member in good standing. With the exception of guest and foreign members, all classes of membership shall be able to run for an elected acbl position as long as he or she is 18 years of age or older and there are no other age requirements for the position.”

“The acbl board of directors is composed of one member from each region. A member of the board of directors must be a member of a unit located within the region from which he was elected and must remain a member of a unit located within the region during his term. Regional directors are elected by the unit boards. Each unit board of directors in a region is allocated votes based on the membership of each unit divided by one hundred (unit voting power). Each unit board member is entitled to vote the unit voting power in his unit divided by the number of board members in such unit.”

“Acbl members may, in certain circumstances, be involved in the process of amending the acbl bylaws. The amendment process may be initiated by a member of the board of directors, a member of the advisory council, or a member of acbl. In all cases, there is a multi-level process requiring a minimum of three separate votes. In certain situations, additional procedures may be required that include approval by the acbl district organizations or acbl members.”

“Board members submit annually a conflict of interest (coi) statement identifying any contracts or transactions in which they have an actual or potential financial or non-financial interest that constitutes, or gives the appearance of constituting, a conflict of interest. Any such contract or transaction that arises after the submission of the coi statement must be brought by the board member to the attention of chair of the audit committee. Newly elected directors are required to provide this coi statement prior to assuming their seat on the board. Completed coi statements are submitted to the chair of the audit committee. The compliance officer reviews the coi statements and reports the results to the audit committee in writing. If a financial or non-financial interest is determined to exist, the audit committee documents the existence and resolution of the conflict in the minutes of the meeting in which such conflict was discussed or voted upon. A person with a coi may not be present or participate in board or committee deliberation or vote on the matter giving rise to such conflict.”

“The executive director review committee performs the annual performance review of the executive director. Compensation adjustments are primarily driven by performance goals being met. The committee makes a recommendation to the board of directors for approval. The executive director approves compensation for all other officers.”
