The executive committee is made up of 5-15 members of the board of directors, all are part of the governing body. The committee has the authority act on behalf of the board on areas under the committees purview.

The association is composed of 5 classes of members, namely, active producer members, active foundry members, associate members, individual members, and honorary members.

Members of the association vote and approve new members to the board/governing body.

Form 990, Part VI, Section A, Line 7B

The active members entitled at the time to vote for the election of directors shall have power to adopt, amend, or repeal the bylaws of the association by vote of not less than a majority of such active members, and except as otherwise provided by law, the board of directors shall have power equal in all respects to that of the members to adopt, amend, or repeal the bylaws by vote of not less than a majority of the entire board. However, any bylaw adopted by the board may be amended or repealed by vote of the active members entitled at the time to vote for the election of directors.

The form 990 is prepared by an independent accounting firm, reviewed by the vp finance & administration, and then a draft of the form 990 is sent to officers and board members for review prior to filing each year.

Form 990, Part VI, Section B, Line 12C

The association's conflict of interest policy covers all employees and the board of directors. The level at which determinations are made as to whether a conflict exists is with officers of the association and the board of directors. The policy requires employees who have influence on a transaction report to an officer of the association the existence of any actual or potential conflict of interest so that safeguards can be established to protect all parties. Board members must disclose conflicts of interest to the entire board and take whatever precautions necessary to eliminate the conflict. The corporate secretary annually ensures the conflict of interest forms are completed and collected. The board of directors monitors continuously to ensure compliance with the policy. Uninvolved board members are tasked within establishing safeguards to protect against any potential conflict.

The ceo's compensation and bonus is approved by the compensation committee, which consists of the chair, first vice chair, second vice chair, and immediate past chair of the board. The ceo's bonus is awarded in conjunction with the ceo's employment agreement which outlines ranges for a bonus. During the contract process the compensation committee engages an independent compensation consultant periodically. The consultant uses compensation comparability information. The board appoints the ceo and the employment agreement is approved by the officers. This process was last performed in 2020. Deliberations are recorded in the minutes of the committee. The compensation and bonus amounts of other officers and key employees is approved by the same compensation committee who also periodically engages an independent compensation consultant for these positions.

The association is exempt from federal income taxes under section 501(c)(6) of the internal revenue code. However, the association is required to report unrelated business income to the internal revenue service (irs) and the commonwealth of virginia, as well as pay certain other taxes to local jurisdictions. The association had no unrelated business income tax liability for the years ended december 31, 2023 and 2022. The income tax positions taken by the organizations for any years open under the various statutes of limitations are that the organizations continue to be exempt from income taxes and that the organizations have properly reported unrelated business income that is subject to income taxes. The organization believes that there are no tax positions taken or expected to be taken that would require recognition in the consolidated financial statements which may have an effect on tax-exempt status. None of the organizations' federal or state income tax returns are currently under examination.
