Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is distributed first to the president, chairman, and honorary chairman for careful review, and then to the rest of the board. Board members are encouraged to review the 990 on their own, and forward any questions to the officers or executive vice president. Inquiries are invited at the annual board meetings as well.

Form 990, Part VI, Section B, Line 12C

At the beginning of each fiscal year, boys town directors discuss any potential conflicts-of-interest. If a conflict is identified, the chairman will discuss the conflict with the appropriate parties and those parties will be recused from voting on the matter that they have a conflict on.

Form 990, Part VI, Section B, Line 15

Legal counsel and the compensation committee review comparable data from other organizations to determine compensation for the executive v.p. All discussions of the compensation committee and the board of directors, regarding compensation are recorded in the minutes of the board meeting. The last salary determination for the executive v.p. Took place in november, 2017 for calendar year 2017.

Form 990, Part VI, Section C, Line 19
