Governance Explanations

Form 990, Part VI, Section B, Line 11B

Management reviewed a draft of the form 990 with the audit/finance committee and provided edits to the tax preparer. After this process was performed, the form 990 was sent to the full board of directors prior to being filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organization has a board-approved conflict of interest policy. Each board member must fill out an annual declaration stating they had no conflicts or identifying the nature of their interested party transactions. Additionally, each board member, at the time they join the board, must sign a document indicating they understand and have received a copy of the conflict of interest policy. If any question may arise in the mind of any director, officer or key employee of the organization as to a potential conflict between his or her own individual interest, those of a relative, or those of a related party and the interest of the organization, full disclosure of all facts pertaining to such potential conflict shall be made to the board of directors. Fact-gathering and subsequent review by the board of directors will determine whether or not an actual conflict exists or would occur. Procedure for addressing potential conflict of interest a. The board of directors of the organization (or a duly appointed committee of the board) shall investigate the potential conflict of interest. B. The director, officer or key employee to whom the potential conflict of interest relates shall not participate in any discussion relating to the conflict, except that the board or committee may request that the interested party present information concerning the transaction at a meeting of the board or committee prior to commencement of deliberations or voting. C. The board or committee may, by majority vote, ask any such director, officer or key employee to leave the room in which such discussion is carried on; provided, however, that the interested director may participate in any discussion regarding his or her exclusion. D. Directors, officers and key employees to whom the potential conflict of interest relates shall not attempt to influence other directors regarding such matter. E. After conducting due diligence, the board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest and for its own benefit and whether the transaction is fair and reasonable to the organization and shall make its decision as to whether the enter into or allow the transaction or arrangement in conformity with such determination. As part of its due diligence efforts, the board or committee shall determine whether the organization can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. F. The following information shall be recorded in the minutes of the meeting of the board or committee: - the names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the board's or committee's decision as to whether a conflict of interest in fact existed; and - the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection therewith.

Form 990, Part VI, Section B, Line 15A

The gwhv board established a salary range for the position of executive director based on research done by the search firm hired to help find a new ed. That search firm (commongood careers) informed the board of comparable salaries for executive directors at similar-sized organizations. (the search firm was hired for a flat fee not a percentage of salary so there was no incentive for them to inflate the salary offered.) the board took that information along with its own understanding and knowledge of comparable salaries and the organization's budget constraints and set a salary that was offered to the new executive director. The full board was updated on the search committee and executive committee process used for selection and hiring of the executive director. The last compensation review process was undertaken in october 2017.
