the membership of the corporation shall consist of independent group home living association, inc. (IGHL), acting by and through its board of directors. Form 990, Part vi, line 7a IGHL shall have the sole power and right to elect the directors of the corporation. Form 990, Part vi, line 7b IGHL shall have the sole power and right to exercise such powers and rights as an specially and exclusively granted to memebers pursuant to applicable provisions of law, or as set forth in the corporation's bylaws. the directors of the corporation may not restrict or limit the power or right of the member without the member's consent or approval. FORM 990, part vi, line 11 The Form 990 was prepared by an independent accounting firm in conjunction with the organization's financial department. A copy of the draft form 990 was circulated to the full board of trustees in either paper or electronic form for discussion and comment. Each board member was provided ample opportunity to comment on the information contained in the 990 prior to its filing with the Internal Revenue Service.

Angela's House operates under the conflict of interest policy of its parent organization, Independent Group Home Living Program, Inc ("IGHL"). The policy and annual disclosure forms are distributed to all board members, officers and management staff. Each individual is required to sign and review the disclosure form and provide information about any relationships they may have with IGHL, other employees, and/or vendors that conduct business with IGHL. All submissions are reviewed by Human Resources to determine if a conflict exists; when a conflict arises, the individuals affected are prohibited from participating in the decision-making process related to any transaction occurring with the conflicted organization. Form 990, Part VI, Line 13 & 14 Angela's House operates under the whistleblower and document retention policy of its parent organization, Independent Group Home Living Program, Inc ("IGHL").

Angelas House does not compensate the organization's CEO or top management offical. IGHL, Inc., an affiliate of the reporting organization, paid compensation to the CEO and CFO of the reporting organization - Walter Stockton and Mary Beth Lichtneger. IGHL has established the compensation of these two officers using: Independent Compensation Consultant, Form 990 tax returns of other organizations, compensation surveys or study, and approval by the Board of Directors or Compensation Committee. IGHL has written employment agreements in place for both individuals, which outline compensation including all forms of wages and fringe benefits. IGHL uses an outside independent accounting consultant firm with expertise in the not-for-profit industry to perform compensation analyses of the executive positions. The compensation analyses include compensation surveys of comparable positions based upon the compensation and fringe benefits reported on the 990 tax returns for comparable agencies in the industry. The results of the compensation analyses are presented to the Board of Directors, who review the analyses to determine appropriate compensation levels and ensure compliance with the Due Diligence Guidelines as outlined in IRC 4958. The basis for its determination and all decisions made are contemporaneously documented in meeting minutes. form 990, part vi, line 15b Senior director, Robert Policastro, is compensated by Angelas House. Angelas House undertakes a thorough process to ensure that the compensation it pays to its officer is commensurate with compensation paid by other entities in the same industry. The organization obtained a compensation survey in 2016 to ensure that Angelas House continues to pay compensation at market rates. The organization uses an outside independent accounting firm with expertise in the not-for-profit industry to perform compensation analyses for Robert Policastro and other corporate officers. The compensation analyses include compensation surveys for each position based upon the compensation and fringe benefits reported on the IRS 990 tax returns for comparable agencies in the industry. The results of these compensation analyses are presented to the Board of Directors, who review the analyses to determine appropriate compensation levels and ensure compliance with the Due Diligence Guidelines as outlined in IRC 4958. The basis for its determination and all decisions made are contemporaneously documented in meeting minutes. The organization regularly commissions an independent compensation study; the last survey was completed in 2016.

Officers, Walter Stockton and MaryBeth Lichtneger provide services to Angela's House and to various IGHL related entities. A portion of both officers' salaries are allocated to Angela's House depending on the amount of time each provided services to the organization. THE ORGANIZATION IS EXEMPT FROM FEDERAL INCOME TAX UNDER INTERNAL REVENUE CODE (THE "CODE") SECTION 501(C)(3), THOUGH IT IS SUBJECT TO TAX ON INCOME UNRELATED TO ITS EXEMPT PURPOSE, UNLESS THAT INCOME IS OTHERWISE EXCLUDED BY THE CODE. THE ORGANIZATION HAS FILED FOR AND RECEIVED INCOME TAX EXEMPTIONS IN THE JURISDICTIONS WHERE IT IS REQUIRED TO DO SO. ADDITIONALLY, THE ORGANIZATION HAS FILED INTERNAL REVENUE SERVICE FORM 990 TAX RETURNS, AS REQUIRED, AND ALL OTHER APPLICABLE RETURNS IN JURISDICTIONS WHEN IT IS REQUIRED. The organization home care programs are broken down into two main categories of Care at Home Program and Family Support Service Programs. 1. Care-at-Home Case Management Program: worked with 264 children during 2017. 2. Family Support Programs: Worked with 930 children during 2017. This includes the following programs: Respite Program, Non-Medicaid Service Coordination, Crisis Intervention, Family Counseling-Training-Advocacy, Emergency Respite, Assistive Technology, Information - referral and Everyday Wishes Program. Residential Service: Angela's House works very closely with 3 of Independent Group Home Living's specialized IRA programs where medically fragile children live. These homes care for 23 children in a warm, loving home environment that is suited to accommodate their complex physical and medical needs. Each home is wheelchair accessible and has 24 hour nursing to accommodate medical necessities such as suctioning and Oxygen care.
