Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 has been fully reviewed by the audit committee in conjunction with the accounting firm in advance of its filing. Once all information was reviewed and all changes deemed appropriate were made, the form 990 was reviewed by the president. Should the president have any changes to the form 990, they must be approved by the audit committee in advance of the filing. The form 990 was made available to all board members before the form 990 filed. Once all changes were made, the form 990 was filed.

Form 990, Part VI, Section B, Line 12C

All directors and officers are asked to complete a conflict of interest statement annually, asking for the disclosure of any possible conflicts they may have, and to come forward and inform the organization should a conflict arise during the year.

Form 990, Part VI, Section B, Line 15A

Before the budget is presented to the board for approval, the director of finance meets with the compensation committee by telephone to discuss the salary for the artistic director. The committee chair then has a conversation with the board chair, and reports back to the committee and dof to inform them of the final decision on her compensation for the coming fiscal year.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are not made publicly available. However, such documents can be obtained upon request to the organization, access to which to be granted on a case by case basis.
