Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 has been fully reviewed by the audit committee in conjunction with the accounting firm in advance of its filing. Once all information was reviewed and all changes deemed appropriate were made, the form 990 was reviewed by the president. Should the president have any changes to the form 990, they must be approved by the audit committee in advance of the filing. The form 990 was made available to all board members before the form 990 filed. Once all changes were made, the form 990 was filed.

Form 990, Part VI, Section B, Line 12C

All directors and officers are asked to complete a conflict of interest statement annually, asking for the disclosure of any possible conflicts they may have, and to come forward and inform the organization should a conflict arise during the year.

Form 990, Part VI, Section B, Line 15A

Before the budget is presented to the board for approval, the director of finance meets with the compensation committee by telephone to discuss the salary for the artistic director. The committee chair then has a conversation with the board chair, and reports back to the committee and dof to inform them of the final decision on her compensation for the coming fiscal year.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are not made publicly available. However, such documents can be obtained upon request to the organization, access to which to be granted on a case by case basis.

IRS990/Desc0ARTISTIC SEASONST. ANN'S 2019-2020 SEASON MARKED OUR 40TH YEAR AS AN ARTISTIC HOME FOR GROUND-BREAKING MUSIC AND THEATER. DESPITE THE INTERRUPTION OF SPRING PROGRAMMING DUE TO COVID-19, WE SUCCESSFULLY PRESENTED THREE AMERICAN PREMIERE THEATER PRODUCTIONS TO AUDIENCES OF OVER 22,000; LAUNCHED A NEW CREATIVE PARTNERSHIP WITH DUBLIN'S GATE THEATRE; STRENGTHENED ONGOING PARTNERSHIPS WITH ARTISTS AND COMPANIES; AND OFFERED EDUCATION AND OUTREACH PROGRAMMING TO THE COMMUNITY. SEASON PROGRAMMING: HISTORY OF VIOLENCE A NEW PRODUCTION FROM BERLIN'S THEATRE, CO-PRODUCED BY ST. ANN'S WAREHOUSE. ADAPTED AND DIRECTED BY THOMAS OSTERMEIER AND BASED ON FRENCH WRITER EDOUARD LOUIS' SEARING AUTOBIOGRAPHICAL NOVEL ABOUT AN INTIMATE ENCOUNTER TURNED DEADLY. THE PROJECT WAS ACCOMPANIED BY THE GOETHE-INSTITUT'S EXHIBITION "QUEER AS GERMAN FOLK," DEVELOPED IN CONJUNCTION WITH THE STONEWALL 50TH ANNIVERSARY (NOV 13-DEC 1, 19 PERFORMANCES). UK STORYTELLER AND MONOLOGIST DANIEL KITSON, A PERENNIAL ST. ANN'S ARTIST, RETURNED WITH A WITTY NEW EVENING-LENGTH STORY, KEEP (DEC 4-20, 14 PERFORMANCES). HAMLET LAUNCHED A NEW CREATIVE PARTNERSHIP WITH DUBLIN'S ESTEEMED GATE THEATRE. THIS FIERCE INTERPRETATION OF SHAKESPEARE'S FAMOUS PLAY, DIRECTED BY YAEL FARBER, FEATURED A TOUR-DE-FORCE PERFORMANCE BY IRISH-ETHIOPIAN ACTRESS RUTH NEGGA. HAMLET SOLD OUT AT 100% AND WAS EXTENDED ONE WEEK TO SATISFY TICKET DEMAND (FEB 1-MAR 8, 37 PERFORMANCES). IN ADDITION, ST. ANN'S PARTICIPATED IN THE SEPTEMBER PHOTOVILLE FESTIVAL BY MOUNTING A LOBBY EXHIBIT, JOURNALISTS UNDER FIRE SHOWCASING REPORTERS AND PHOTOJOURNALISTS WHO HAVE DIED OR LIVE UNDER THREAT COVERING STRIFE TORN PARTS OF THE WORLD. THE ANNUAL DEVELOPMENTAL PUPPET LAB OFFERED SEVEN SPECIALLY SELECTED PUPPET ARTISTS A NINE-MONTH COLLABORATIVE WORKSHOP TO DEVELOP NEW OBJECT-BASED THEATER PROJECTS (NOVEMBER-MAY). IN MID-MARCH WITH THE ONSET OF THE PANDEMIC, PROGRAMMING MOVED ONLINE AND INCLUDED A MUSIC COMMEMORATION TO PRODUCER HAL WILLNER, WHO WORKED WITH ST. ANN'S ON MANY TRIBUTE CONCERTS OF LASTING IMPACT. COMPLICITE'S THE ENCOUNTER, A SOLO PERFORMANCE WITH ACTOR SIMON MCBURNEY, WAS AN IMMERSIVE PRODUCTION ABOUT A PHOTOGRAPHER'S JOURNEY INTO THE AMAZONIAN RAINFOREST WITH LIVE FOLEY EFFECTS AND A BINAURAL 3D SOUND SYSTEM (MAY 15-25). EDUCATION/OUTREACH: ST. ANN'S YOUTH EMPOWERMENT PROGRAM, NOW IN ITS SIXTH YEAR REACHED OVER 400 NYC PUBLIC HIGH SCHOOL STUDENTS AND UNDERSERVED YOUTH WITH PREPARATORY WORKSHOPS AND FREE TICKETS TO HAMLET PERFORMANCES. OTHER COMMUNITY ACTIVITIES INCLUDED A TEACHER TRAINING WORKSHOP IN CONJUNCTION WITH HISTORY OF VIOLENCE, FREE POST SHOW TALK BACKS, AND A SPECIAL EVENING WITH NEW YORKER WRITER ALEXANDRA SCHWARTZ AND AUTHOR EDOUARD LOUIS DURING HISTORY OF VIOLENCE. MULTI-PRONGED MARKETING CAMPAIGNS WERE LAUNCHED FOR EACH PRODUCTION, RESULTING IN BROAD COVERAGE IN PRINT AND ONLINE PUBLICATIONS AND THROUGH SOCIAL MEDIA.
