THE COMPANY SOLD THE PROPERTY IN 2012 TO AN AFFILIATE. THE PROPERTY SUBSEQUENTLY ENTERED THE LOW-INCOME HOUSING TAX CREDIT PROGRAM, REGULATED BY SECTION 42 OF THE INTERNAL REVENUE CODE. PURSUANT TO THE SALE AGREEMENT, THE COMPANY HAS A RIGHT OF FIRST REFUSAL PURCHASE OPTION, TO REPURCHASE THE PROPERTY AT THE END OF THE FIRST 15-YEAR COMPLIANCE PERIOD UNDER AN AGREED-UPON REPURCHASE FORMULA.
