Governance Explanations

Form 990 and all schedules and form 990-t are prepared annually by management, reviewed by an external auditing firm, reviewed by the board of trustees audit committee and provided to the full board of trustees prior to filing the forms with the irs.

Form 990, Part VI, Section B, Line 12C

The university has a conflict of interest policy. All trustees, officers and employees of the university must sign a conflict of interest statement annually. The chairman of the university's audit committee and the chairman of the trustee affairs committee, report to the university's governing board annually regarding potential conflicts of interest. Any potential transactions or relationships are reviewed and documented on the 990 and schedule l.

Form 990, Part VI, Section B, Line 15

An independent compensation consultant has been hired by the university to review the compensation of the university's officers. The consulting firm reviews compensation of the university's officers in comparison to those offices of other colleges and universities within our supported peer group of other universities. Their report is presented to the executive committee of the university's board of trustees. In addition, the compensation of the university's key employees is reviewed annually. Comparisons are made to the salaries reported by the college and university personnel association as well as the compensation reported in other university's form 990. The executive committee of the university's board of trustees acts as the compensation committee. Recommendations on compensation are approved by the full board and are contemporaneously documented in the minutes to those meetings.

Adelphi offers exceptional liberal arts and sciences programs and professional training with particular strength in our core four- arts and humanities, stem and social sciences, the business and education professions, and health and wellness. Recognized as a best college by u.s. News & world report, adelphi is long island's oldest private coeducational university. It serves more than 8,100 students at its beautiful main campus in garden city, new york - just 23 miles from new york city's cultural and internship opportunities - and at dynamic learning hubs in manhattan, the hudson valley, and suffolk county, as well as online. More than 116,000 adelphi graduates have gained the skills to thrive professionally as active, engaged citizens, making their mark on the university, their communities and the world.

Financial Statement Notes

PART III, LINE 1A:

The university maintains an inventory of works of art. The works of art are primarily comprised of paintings and sculptures and are displayed throughout the campus. Under the provisions of sfas 116, the university is not required to and does not report these items in its financial statements.

PART X, LINE 2:

The university follows asc 740-10 which clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a return, including issues relating to financial statement recognition and measurement. This section provides that the tax effects from an uncertain tax position can be recognized in the financial statement only if the position is "more likely than not" to be sustained if the position were challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenge. The university is exempt from federal income taxation by virtue of being an organization described in section 501(c)(3) of the internal revenue code. Nevertheless, the university may be subject to tax on income unrelated its exempt purpose, unless that income is otherwise excluded by the code. Management has determined that there are no material uncertain tax positions within its consolidated financial statements.

The university's endowment is an aggregation of gifts provided by donors with the requirement they be held in perpetuity to generate earnings now and in future years to support the university's programs of instruction, research and public service, and funds designated by the board of trustees to function as endowment. The university has adopted a spending policy for donor-restricted endowment funds. Grants and scholarships reported on schedule d, part v, line 1d in the amount of 1,405,620 represent amounts awarded to students in accordance with donor stipulations and the university's endowment spending policy. In fiscal year 2019-2020, the university awarded students institutional financial and totaling 82,650,603. Institutional aid of approximately $80 million was funded by the university's annual operating budget.
