“Part vi, section a. - question 7a the board of governors of the club shall consist of 15 members in good standing who have been regular family members for at least two (2) years as of october 1 when their term of office commences. Such regular family members will be eligible to run for the board in the september election immediately preceding this october 1st date. A regular family member who chooses to run for a position on the executive committee shall declare which position they are running for. The board shall be comprised of the following: a president, a vice-president, a secretary, a treasurer, which shall be deemed to be the executive committee, and 11 additional members, one of whom shall be the immediate past president, who shall automatically become a member of the board and whose term shall expire when the next outgoing president shall succeed to the board.”

“Part vi, section a. - question 7b any single unbudgeted expense in excess of $100,000 must be approved by members.”

“Part vi, section b. - question 12c at the start of every fiscal year, all board members and key employees are required to sign a new conflict of interest policy form. If a board member or employee signs the conflict of interest policy stating there is no conflict and it is later deemed that there may be a conflict, the person is required to sign a new conflict of interest policy form.”

“Part vi, section b. - questions 15a & 15b proposal for hiring general manager and his compensation package is made by the president; extensive discussion, review and refinement is done by the treasurer and executive committee; and final approval of made by the board of governors. General manager makes recommendations which are reviewed and approved by the treasurer and executive committee.”

“The object of the cold spring country club, inc. (the "club"} shall be to encourage and stimulate an interest in golf and other outdoor sports, and perform such things that pertain to such purposes; to own or lease, operate and maintain a clubhouse, golf course, tennis courts and related facilities for the benefits and accommodation of its members, while enhancing opportunities for social interaction among members and promoting a sense of community within cold spring country club.”
