Governance Explanations

Form 990, Part VI, Section A, Line 7A

The officers of the board of directors are elected by the members on an annual basis at large. Board members are elected by the members for a term of three years on a staggered basis which expire in april of 2025, 2026 and 2027.

Form 990, Part VI, Section B, Line 11B

The audit committee shall review and approve the internal revenue service (irs) form 990 before it is filed with the irs. It is management's responsibility to provide either a hard copy or electronic copy of the filed form 990 to the board of directors in a timely manner.

Form 990, Part VI, Section B, Line 12C

Each director, officer, staff member, and member of a committee with governing board delegated powers shall annually sign a statement (annual statement) which affirms such person (a) has received a copy of the conflicts of interest policy, (b) has read and understands the policy, (c) has agreed to comply with the policy, and (d) understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. The disclosure statements shall be filed with the secretary of the board of directors annually. The secretary will accumulate all annual statements and furnish them to the board of directors and audit committee. The secretary will be responsible for ensuring compliance by the full population covered by this policy and report to the board of directors those individuals failing to furnish an annual statement. In the period between the filing of the annual statements, if an individual covered by this policy believes that she or she may have a conflict of interest with respect to this policy or any particular transaction, he or she shall promptly and fully disclose the potential conflict to the secretary and shall refrain from participating in any transactions or decisions of the organization that may be impaired by the potential conflict until the board of directors reviews the disclosure statement and reaches a conclusion.

Each year, the president & ceo's compensation is reviewed by an independent personnel and executive committees, before going to the board of directors for final approval. Based on the reporting thresholds for compensation, as noted in the instructions of form 990, there are no other employees for which compensation is approved through a process similar to the one followed for the president & ceo.

Financial Statement Notes

PART III, LINE 1A:

In conformity with the practice followed in prior years, the financial statements exclude the value of aircraft and other collection objects and no determination has been made as to the aggregate value of such items. The value of aircraft and related collection objects acquired by gift during the period is not reported in the statement of activities and changes in net assets as the association is not able to make a reasonable estimate of their value. The proceeds received from the sale of artifacts and the cost of exhibits and restoration are reported as revenue or expense, respectively.

PART X, LINE 2:

Management of the association evaluates all significant tax positions as required by accounting principles generally accepted in the united states. As of december 31, 2024, management does not believe that it has taken any additional tax position that would require the recording of any additional tax liability nor does it believe that there are any unrealized tax benefits that would either increase or decrease within the next twelve months. The association's income tax returns are subject to examination by the appropriate taxing jurisdictions. As of december 31, 2024, the organization's federal and state tax returns generally remain open for examination for three years from the date filed.
