To serve and integrate children and families dealing with autism in the charlotte, north carolina and surrounding areas through our inclusion-based programs and community partnerships.

Governance Explanations

Form 990, Page 6, Part VI, Line 1A

The board of directors, by resolution adopted by a majority of the total number of directors then in office, may designate an executive committee that shall have and may exercise the authority of the board of director in the management of the organization except as expressly prohibited by law, or may advise the board of directors as to one or more areas of operation of the organization.

Form 990, Page 6, Part VI, Line 4

The organization approved the following significant changes to its bylaws: - the maximum number of board members was increased from 11 to 21. - board members lori schleicher, isabel owen, marjorie serralles-russell, lee james, and michelle nebrig were provided for indefinite terms to end upon their respective deaths or resignations. Other board members are required to be reelected after serving a three-year term, serving a maximum number of two consecutive terms after which one year must pass before he or she can be eligible for election again. - the number of allowed absenses from board meetings for members was reduced from 3 to 2 per year. The number of board meetings held each year was increased from 12 to 15. - information was included to clarify the definition of a conflict of interest, under what circumstances a transaction may or may not be voided due to a conflict of interest, and how directors should report a potential conflict. - board officer positions were solidified as: chair, vice chair, secretary, treasurer, one or more assistant secretaries and assistant treasurers as elected by the board. Clarification was added that one person may hold two or more positions except where the actions of two persons is required. - term of officers elected within the board were reduced from an indefinite period of time to one year. Details were added to provide the procedure for resignation, removal, and replacement of officers. - the organization made other various updates to the bylaws to clarify points that do not constitute a significant change.

The return was prepared by an independent accountant with assistance and oversight by members of the governing body. Upon completion and review, the return was provided to each voting board member prior to subsmission to the irs. Names of contributors on schedule b were redacted for this review.

The bylaws of the organization prohibit neither the organization nor a director to engage in a conflict of interest transaction except as permitted by state or other appropriate law. Directors are not allowed to participate in the selection of proposals where a conflict appears to exist. The conflict of interest policy is reviewed annually by the board of directors and considered prior to each significant discussion or vote.

University autism outreach program: connects local college students at seven major academic institutions who want experience in autism with local families who need help. - this program serves students in spring, fall, and summer semesters. Students work with children in the home, at school,and within our programs. Students also get extra hours working at four special needs schools we partner with for this purpose. University partners: davidson, uncc, queens, cpcc, johnson c. Smith, winthrop, and wingate. Future plans include developing and maintaining a new relationship with belmont abbey and gaston community college, and to continue to explore ways to increase our capacity to serve to the latino community.

GRANTS TO THE YMCA AND CMS SERVE TO OFFSET THE NET OPERATING LOSS OF THE PROGRAM, GIVEN ITS STAFFING RATIO OF ONE TEACHER TO THREE CHILDREN WITH AUTISM. OPERATING LOSS IS CALCULATED BASED UPON DIRECT REVENUE (PROGRAM FEES) AND DIRECT EXPENSES (STAFFING AND MATERIAL COSTS) ONLY. NO OVERHEAD OR INDIRECT COSTS ARE CHARGED TO THE ORGANIZATION BY THE YMCA AND CMS. THE YMCA AND CMS COLLECT AND ACCOUNT FOR THE REVENUE ON THEIR FINANCIAL STATEMENTS. IN ADDITION, THE STAFF ARE EMPLOYEES OF THE YMCA AND CMS, EVEN THOUGH MANAGED BY AUTISM FOUNDATION EMPLOYEES (THE PROGRAM MANAGER AND THE PROGRAM DIRECTOR). OTHER BOARD MEMBERS ARE REQUIRED TO BE REELECTED AFTER SERVING A THREE-YEAR TERM, SERVING A MAXIMUM NUMBER OF TWO CONSECUTIVE TERMS AFTER WHICH ONE YEAR MUST PASS BEFORE HE OR SHE CAN BE ELIGIBLE FOR ELECTION AGAIN. - THE NUMBER OF ALLOWED ABSENSES FROM BOARD MEETINGS FOR MEMBERS WAS REDUCED FROM 3 TO 2 PER YEAR. THE NUMBER OF BOARD MEETINGS HELD EACH YEAR WAS INCREASED FROM 12 TO 15. - INFORMATION WAS INCLUDED TO CLARIFY THE DEFINITION OF A CONFLICT OF INTEREST, UNDER WHAT CIRCUMSTANCES A TRANSACTION MAY OR MAY NOT BE VOIDED DUE TO A CONFLICT OF INTEREST, AND HOW DIRECTORS SHOULD REPORT A POTENTIAL CONFLICT. - BOARD OFFICER POSITIONS WERE SOLIDIFIED AS: CHAIR, VICE CHAIR, SECRETARY, TREASURER, ONE OR MORE ASSISTANT SECRETARIES AND ASSISTANT TREASURERS AS ELECTED BY THE BOARD. CLARIFICATION WAS ADDED THAT ONE PERSON MAY HOLD TWO OR MORE POSITIONS EXCEPT WHERE THE ACTIONS OF TWO PERSONS IS REQUIRED. - TERM OF OFFICERS ELECTED WITHIN THE BOARD WERE REDUCED FROM AN INDEFINITE PERIOD OF TIME TO ONE YEAR. DETAILS WERE ADDED TO PROVIDE THE PROCEDURE FOR RESIGNATION, REMOVAL, AND REPLACEMENT OF OFFICERS. - THE ORGANIZATION MADE OTHER VARIOUS UPDATES TO THE BYLAWS TO CLARIFY POINTS THAT DO NOT CONSTITUTE A SIGNIFICANT CHANGE.
