Governance Explanations

The executive committee is chaired by the board chair and is empowered to act on urgent matters during the interim periods between meetings of the board of directors. All actions taken by the executive committee must be ratified by the full board at its next meeting. The executive committee shall consist of the officers of the corporaiton and one at large board member elected by the board. Under no circumstances shall a majority of the members of the executive committee consist of board members nominated or appointed by a third party. Meetings of the executive committee will be held as necessary.

Financial Statement Notes

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by bphcc and recognize a tax liability if bphcc has taken an uncertain position that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by bphcc, and has concluded that as of march 31, 2025, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying financial statements. Bphcc is subject to routine audits by taxing jurisdictions. However, as of the date the financial statements were available to be issued, there were no audits for any tax periods in progress.

BPHCC WAS ORIGINALLY ESTABLISHED IN 2001, WITH A FEDERAL GRANT TO SERVE LOCAL FARM WORKERS. ADDITIONAL GRANT FUNDING ALLOWED AN EXPANSION TO SERVE PERSONS EXPERIENCING HOMELESSNESS. BPHCC SERVES OVER 11,000 PATIENTS IN AN EIGHT COUNTY SERVICE AREA INCLUDING: FAYETTE, WOODFORD, JESSAMINE, GARRARD, MADISON, CLARK, BOURBON, AND SCOTT COUNTIES. AS MANY OF KENTUCKY'S MIGRANT AND SEASONAL FARM WORKERS ARE SPANISH SPEAKERS, BPHCC EMPLOYS BILINGUAL STAFF WHO SPEAK ENGLISH AND SPANISH. IT ALSO UTILIZES LANGUAGE LINE INTERPRETATION TO ENSURE THAT ALL PATIENTS HAVE ACCESS TO CLINIC SERVICES IN ANY LANGUAGE. BPHCC SERVES THE MIGRANT FARM WORKER AND THE HOMELESS IN CLINIC AND WITH OUTREACH SERVICES INCLUSIVE OF A MEDICAL TEAM GOING TO VARIOUS LOCATIONS TO PROVIDE ACCESS TO CARE. BPHCC UTILIZES THE INTEGRATED CARE MODEL IN WHICH BEHAVIORAL HEALTH SERVICES ARE OFFERED IN THE PRIMARY CARE SETTING. BEHAVIORAL HEALTH SERVICES INCLUDE LIFESTYLE SUPPORT FOR CHRONIC DISEASE MANAGEMENT AND OUTPATIENT COUNSELING FOR MENTAL HEALTH AND SUBSTANCE USE NEEDS. THE BEHAVIORAL HEALTH PROVIDERS WORK IN CONJUNCTION WITH THE PRIMARY CARE PROVIDER TO EVALUATE THE MIND-BODY BEHAVIOR CONNECTION AND PROVIDE BRIEF, SOLUTION-FOCUSED INTERVENTIONS TO SUPPORT IMPROVED HEALTH OUTCOMES.
